Part A · General
1. Who you are contracting with
Your counterparty for all three programs is Schröder & Weische GmbH, Heimhuder Straße 30, 20148 Hamburg, Germany, registered with the commercial register B of the Local Court of Hamburg under HRB 168386, represented by its managing directors Carl Weische and Lars Schröder.
2. Which terms apply to you
These Terms consist of this general Part A and the three annexes below. Only the annex for the program you booked applies to you. The annexes do not apply to each other.
3. Order of precedence
(1) An individually signed agreement between you and the relevant company takes precedence over this page.
(2) The annex for your program takes precedence over this Part A.
(3) Where an annex itself sets an internal order of precedence, that order applies within it.
4. Business customers only
All three programs are offered exclusively to entrepreneurs within the meaning of Sec. 14 of the German Civil Code (BGB) and to merchants within the meaning of the German Commercial Code (HGB). They are not offered to consumers.
5. Language
German is the authoritative language for all three programs. Any English text is a convenience translation and is not binding. The status of each annex is stated at the top of that annex.

Annex A · The Ecommerce Protocol
Preamble
The Service Provider offers the digital program “The Ecommerce Protocol”, within the framework of which content, tools and accompanying formats are provided for independent implementation in the field of e-commerce. The Service Recipient wishes to participate in the program and to obtain access to the services described below. In view of the foregoing, the Parties agree as follows:
§ 1 Subject Matter of the Contract and Description of Services
(1) The subject matter of this contract is the provision, for consideration, of access to the “The Ecommerce Protocol” program and of the accompanying services described below for the term set out in § 4.
(2) The program term is twelve (12) weeks. Access to the content and accompanying services is granted for a total period of six (6) months from activation (§ 4).
(3) Within the framework of the program, the Service Provider renders the following services:
a video course with twelve (12) chapters, hosted on the “Skool” platform. The chapters are unlocked successively on a weekly basis;
three (3) group calls per week via “Zoom” of 60 minutes each. The calls take place exclusively in a group format and are recorded; there is no entitlement to individual or 1:1 support;
one (1) implementation task per week. The Service Recipient may present its work result in the group call and receives general, group-related feedback from the team there. No tests take place; there is no grading, no individual assessment of learning success and no award of any certificate, degree or other proof of qualification;
access to a community on the “Skool” platform; questions are answered by a Customer Success Manager;
access to a library of templates and standard operating procedures (SOPs);
access to two (2) AI-supported software components to assist with research, copywriting, ad scripts and page building.
(4) The Service Provider owes the provision of the aforementioned content and formats (an obligation of means / best efforts), but not any particular economic or other result. No particular revenue, sales or business success is owed or promised.
(5) The Service Provider is entitled to update individual content, dates, platforms and tools used, or to replace them with equivalent ones, provided this does not materially impair the purpose of the contract.
§ 2 Formation of the Contract and Access
(1) The contract is formed by the Service Recipient accepting the Service Provider’s offer through completion of the order and payment process via the payment service provider Stripe. Access is activated thereafter, following full receipt of the remuneration (§ 3 para. 5).
(2) Access to the platforms (Skool, Zoom, AI components) is provided via personal access credentials. These must be kept confidential and may not be passed on to third parties.
(3) The Service Provider activates access to the services only after full receipt of the remuneration (cf. § 3 para. 5 and § 7).
§ 3 Remuneration and Due Date
(1) The remuneration for participation in the program is the amount displayed in the order process at the time of booking.
(2) The remuneration is net, plus the applicable statutory value-added tax.
(3) The remuneration is due for payment in full upon formation of the contract (§ 2 para. 1) and is payable without deduction.
(4) Payment is made via the payment service provider Stripe.
(5) Activation of the video course and the commencement of the provision of services otherwise (in particular access to group calls, community, templates and AI components) occur only upon full receipt of the remuneration by the Service Provider. Until the remuneration has been received in full, the Service Provider is not obliged to render services or to activate access.
(6) No pro rata refund of the remuneration is made where individual services are not used or where the Service Recipient terminates use prematurely, to the extent legally permissible and subject to any mandatory rights of the Service Recipient.
§ 4 Program Duration and Access Period
(1) The active program support (unlocking of chapters, group calls, implementation tasks) extends over twelve (12) weeks from activation.
(2) Access to the provided content, recordings, templates and AI components exists for a total of six (6) months from activation. Upon expiry of this period, access ends automatically without any need for termination.
(3) The right to extraordinary termination for good cause remains unaffected for both Parties.
§ 5 Rights of Use and Intellectual Property
(1) All content of the program (in particular videos, templates, SOPs, texts, recordings and software) is protected by copyright and remains the property of the Service Provider or the respective rights holders.
(2) The Service Recipient receives a non-exclusive, non-transferable, territorially unrestricted right of use for its own use for the duration of the access period. Any reproduction, distribution, making available to the public or commercial exploitation of the content vis-à-vis third parties is prohibited.
(3) Recordings of the group calls serve exclusively for the Service Recipient’s internal use within the framework of the program.
§ 6 Duties and Obligations of the Service Recipient
(1) The Service Recipient is itself responsible for the technical requirements for use (including internet access, suitable devices, user accounts with the platforms used).
(2) The implementation of the content and any business decisions are made under the sole responsibility of the Service Recipient.
(3) The Service Provider does not provide any legal, tax or investment advice. Such advice must, where necessary, be obtained from appropriately qualified professionals.
§ 7 Notice under the German Distance Learning Protection Act (FernUSG); Payment with Knowledge of the Absence of an Obligation
(1) The Service Provider expressly points out that no authorization by the State Central Office for Distance Learning (ZFU) pursuant to § 12 para. 1 FernUSG exists for the “The Ecommerce Protocol” program.
(2) The Service Provider further points out that it cannot be ruled out that the program qualifies, in whole or in part, as distance learning within the meaning of § 1 para. 1 FernUSG. In that case, the contract could be invalid pursuant to § 7 para. 1 FernUSG and the Service Recipient could be entitled to claims – in particular to repayment of amounts paid pursuant to § 812 para. 1 sentence 1 of the German Civil Code (BGB).
(3) The Service Recipient acknowledges this notice. It pays the remuneration under § 3 in the knowledge that, according to the foregoing, a payment obligation may not exist (knowledge of the absence of an obligation, § 814 BGB). The Service Provider renders its services only after receipt of payment.
§ 8 Separate Agreement: Waiver of any Claims under the FernUSG
(1) The following provision is made as a separate and independent agreement, distinct from the other provisions of this contract.
(2) Subject to the validity of this agreement, the Service Recipient waives the assertion of any claims that it may have against the Service Provider on the basis of a possible applicability of the FernUSG, in particular any claims for restitution due to a possible invalidity of the contract pursuant to § 7 para. 1 FernUSG.
(3) The remaining provisions of this contract remain unaffected by the validity or invalidity of this agreement.
§ 9 Liability
(1) The Service Provider is liable without limitation for damage arising from injury to life, body or health and for damage based on intent or gross negligence.
(2) In the case of simple negligence, the Service Provider is liable only for the breach of a material contractual obligation (cardinal obligation) and limited to the foreseeable damage typical of this type of contract.
(3) In all other respects, liability is excluded. Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.
§ 10 Data Protection
The Service Provider processes the Service Recipient’s personal data in accordance with the applicable data protection provisions (in particular the GDPR and the German Federal Data Protection Act, BDSG). Details are set out in the Service Provider’s data protection notice.
§ 11 Final Provisions
(1) Amendments and supplements to this contract must be made in text form. This also applies to any amendment of this clause.
(2) The law of the Federal Republic of Germany applies. If the Service Recipient is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Hamburg.
(3) Should any provision of this contract be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The statutory provision applies in place of the invalid provision.
(4) This contract is drawn up in German and English. In the event of any discrepancies or differences in interpretation between the two language versions, only the German version shall be authoritative.
Electronic Conclusion of the Contract
This contract is concluded electronically and is formed pursuant to § 2 para. 1 by the Service Recipient accepting the Service Provider’s offer through completion of the order and payment process via the payment service provider Stripe. No handwritten signature of the Parties is required.
The details of the Service Recipient’s identity as well as the date and time of the conclusion of the contract are derived from the data recorded in the order and payment process at Stripe. Upon completion of the order process, the Service Recipient confirms the accuracy of its details and its acknowledgment of this contract, including the notices under § 7.
Annex B · Accelerated Advisory
§ 1 Readability and Preamble
(1) Schröder & Weische GmbH and the CUSTOMER are hereinafter referred to collectively as the Parties or Cooperation Partners, and individually as a Party.
(2) Schröder & Weische GmbH advises companies on paid customer acquisition, offer development and conversion optimization. Through in-depth analysis, systematic testing strategies and data-driven decisions, Schröder & Weische GmbH helps companies to scale their customer acquisition profitably and to measurably increase the efficiency of their digital sales channels. Under this contract, Schröder & Weische GmbH provides the CUSTOMER with advisory services based on a done-with-you consulting model. The purpose is to identify growth and optimization potential together with the CUSTOMER, to derive specific measures and to support their implementation in an advisory capacity. The Parties intend to enter into a cooperation while maintaining their legal independence, excluding any engagement as an independent commercial agent, and having regard to their respective responsibilities.
(3) The Parties intend to work together effectively and successfully for their mutual benefit. On this basis, the Parties agree as follows.
§ 2 Subject and Services of the Cooperation
(1) The subject of the cooperation is the provision of advice and services by Schröder & Weische GmbH across the areas set out in this clause.
(2) The measures listed below are a catalogue of possible measures. Which of them are applied, in what order and to what depth is determined for each engagement on the basis of the roadmap under § 7 para. 1 and on the situation, resources and priorities of the CUSTOMER. Not every measure listed is relevant to, or applied for, every CUSTOMER.
2.1 Offer and Positioning
Analysis of the existing offer, pricing structure and guarantees
Development of the offer architecture, including front-end offer, bundles, upsells and subscription models
Positioning, core value proposition and differentiation from competitors
Development of angles and messaging for use across advertising and landing pages
2.2 Creative Strategy

§ 3 Rights and Obligations of the Parties
(1) The Parties grant each other access to all documents and provide all information that relates to the obligations owed under this contract and that is necessary to carry out the cooperation.
(2) The CUSTOMER supports the services of Schröder & Weische GmbH through appropriate acts of cooperation. The CUSTOMER names a responsible contact person for this purpose and makes available the access, data and information required for the provision of the services within ten working days of a request. The CUSTOMER responds within five working days to requests from Schröder & Weische GmbH that require a decision by the CUSTOMER. If the CUSTOMER fails to perform such acts of cooperation after repeated requests, this does not affect the remuneration claims of Schröder & Weische GmbH. Sec. 615 of the German Civil Code (BGB) applies to this contract.
(3) Schröder & Weische GmbH is free to choose the place of performance and is not bound to fixed times for the provision of its services.
(4) Schröder & Weische GmbH is entitled to have the services provided by vicarious agents, subcontractors and other suitable third parties.
(5) Schröder & Weische GmbH may use the name and logo of the CUSTOMER, as well as specific results attributable to the CUSTOMER, for reference and marketing purposes only with the prior consent of the CUSTOMER. Consent may be given in text form (Textform within the meaning of Sec. 126b BGB). Once given, it also applies beyond the term of this cooperation unless revoked in text form. Without separate consent, Schröder & Weische GmbH may use results achieved in anonymized form, provided that the CUSTOMER cannot be identified as a result.
(6) If the Parties conclude additional non-disclosure agreements, § 3 para. 5 of this contract does not apply to the extent that it is expressly excluded there.
(7) Third-party providers such as Meta or Google reserve the right to restrict, deactivate or delete advertising campaigns or accounts at any time and without stating reasons. Schröder & Weische GmbH bears no responsibility in such cases and its claim to remuneration remains unaffected. This does not apply where it is demonstrated that fault on the part of Schröder & Weische GmbH caused the measures taken by the third-party provider.
(8) The CUSTOMER is responsible for the legal compliance of all content. Schröder & Weische GmbH will act to the best of its knowledge and belief in respect of materials it produces for the CUSTOMER. If the CUSTOMER has any doubts as to legal compliance, the CUSTOMER must have this reviewed at its own expense.
§ 4 Status of the Parties
The Parties provide their services under this contract as independent cooperation partners. This contract does not create an employment relationship, a commercial agency agreement or a partnership between the Parties.
§ 5 Remuneration
(1) Schröder & Weische GmbH receives a flat-rate total investment for a contract term of six months. The amount of the total investment is set out in the individual agreement.
(2) Installment 1 covers contract months 1 to 3 and amounts to one half of the total investment. This installment is due upon conclusion of the contract.
(3) Installment 2 covers contract months 4 to 6 and amounts to one half of the total investment. This installment is due at the beginning of the fourth contract month. It does not fall due if the CUSTOMER exercises the special right of termination under § 6 para. 3 within the applicable deadline.
(4) All prices, fees and remuneration are exclusive of statutory value added tax.
(5) Billing is processed via the payment service provider Stripe. The CUSTOMER provides a valid means of payment for this purpose and authorizes Schröder & Weische GmbH to collect the installments falling due under paragraphs 2 and 3 via that means of payment on the respective due date. If billing is carried out by invoice in an individual case, the remuneration is payable when due against a proper invoice within fourteen days at the latest.
(6) Payment plans deviating from paragraphs 2 and 3, in particular monthly installments, require an agreement in text form (Textform within the meaning of Sec. 126b BGB). This does not affect the total investment under paragraph 1.
(7) The focus of the work falls at the beginning of each of the two contract sections, contract months 1 to 3 and contract months 4 to 6, because this is where the in-depth audits and testing, the advisory work and in particular the complete setup of all systems take place. The agreed remuneration is therefore not refundable if the cooperation ends prematurely, unless there is good cause within the meaning of Sec. 314(1) BGB.
(8) Any deferrals granted may be revoked immediately by Schröder & Weische GmbH in the event of premature termination of this cooperation within the meaning of § 5 para. 7.
(9) If the CUSTOMER is in default with a payment that has fallen due, Schröder & Weische GmbH is entitled, after an unsuccessful reminder and the expiry of a reasonable grace period of at least ten calendar days, to suspend the further provision of services including the access under § 7 para. 1 until payment has been received in full, and to terminate this contract for good cause. The claim to remuneration for the affected contract section remains unaffected. Statutory default interest under Sec. 288(2) BGB remains unaffected.
§ 6 Commencement and Term of the Contract
(1) The cooperation begins on the start date set out in the individual agreement. If no start date is entered, the date of the last signature to this contract is deemed to be the start date. Contract months are calculated from the start date.
(2) This cooperation agreement is concluded for a fixed term of six months from the start date.
(3) The CUSTOMER may terminate this contract with effect from the end of the third contract month (special right of termination). Notice of termination must reach Schröder & Weische GmbH no later than seven (7) days before the end of the third contract month. Notice requires text form (Textform within the meaning of Sec. 126b BGB); an email to finance@acceleratedagency.com is sufficient. If the CUSTOMER exercises the special right of termination within the deadline, the contract ends at the end of the third contract month and installment 2 under § 5 para. 3 does not fall due.
(4) If the special right of termination under paragraph 3 is not exercised within the deadline, the contract continues until the end of the sixth contract month without any further declaration by either Party.
(5) The contract ends at the end of the sixth contract month without notice of termination being required. There is no automatic extension. Before the end of the term, the Parties will hold a joint call regarding a possible continuation of the cooperation. An extension only takes effect if both Parties agree on term and remuneration in text form.
(6) The right of either Party to terminate this contract for good cause without notice under Sec. 314(1) BGB remains unaffected.
§ 7 Provision of Services, Access and Billing
(1) Immediately after conclusion of the contract and receipt of installment 1 under § 5 para. 2, the CUSTOMER receives access to the online learning platform including the SOPs, frameworks and trainings hosted there, access to the dedicated communication channel for ongoing asynchronous collaboration, and an appointment for the onboarding call. The prioritized optimization roadmap under § 2.5 is provided within fourteen days of the onboarding call, provided that the CUSTOMER has made available the access, data and information required for this purpose.
(2) With the provision of the access and content under paragraph 1, a substantial part of the services owed under this contract has been rendered. Schröder & Weische GmbH documents the provision and the use of that access.
(3) If the access under paragraph 1 is not available or not fully available, the CUSTOMER shall notify Schröder & Weische GmbH in text form within fourteen days. Schröder & Weische GmbH will then provide the access without undue delay. If no such notification is made, the access is deemed to have been properly provided. The statutory rights of the CUSTOMER remain unaffected.
(4) The services of Schröder & Weische GmbH are advisory and consulting services in the nature of a service contract (Dienstvertrag within the meaning of Sec. 611 BGB), not a contract for work and services (Werkvertrag). No specific economic result is owed, in particular no specific conversion rate, revenue figure or return on ad spend. Whether results occur depends substantially on implementation by the CUSTOMER, on the resources of the CUSTOMER, and on market factors outside the control of Schröder & Weische GmbH.
(5) The CUSTOMER confirms that the scope of services under § 2 was known to the CUSTOMER before conclusion of the contract. Assurances going beyond the content of this contract, in particular commitments regarding specific revenue, conversion or performance figures, do not form part of the contract (§ 12 para. 5).
(6) In concluding this contract, the CUSTOMER acts in the exercise of its commercial or independent professional activity and is an entrepreneur (Unternehmer within the meaning of Sec. 14 BGB). No consumer right of withdrawal applies.
(7) Questions or complaints regarding the provision of services or billing shall first be clarified directly between the Parties. Before initiating a payment reversal procedure with the payment service provider or with its bank (chargeback), the CUSTOMER will contact Schröder & Weische GmbH in text form and allow a period of at least fourteen days for clarification.
(8) A payment reversal procedure does not affect the remuneration claims of Schröder & Weische GmbH under § 5. Costs incurred by Schröder & Weische GmbH as a result of an unjustified payment reversal procedure, in particular fees charged by the payment service provider, are borne by the CUSTOMER. The CUSTOMER remains entitled to prove that no damage, or substantially lower damage, was incurred.
§ 8 Rights of Use
(1) All content made available by Schröder & Weische GmbH, in particular the online learning platform, the SOPs, frameworks, templates, trainings and analysis methods, is and remains the property of Schröder & Weische GmbH or of its licensors.
(2) For the term of this contract, the CUSTOMER receives a simple, non-transferable and non-sublicensable right to use this content for its own business purposes. Reproduction, disclosure to third parties, publication or exploitation, in particular disclosure for consideration, is not permitted.
(3) The CUSTOMER ensures that the access made available to it is used only by the CUSTOMER and by its employees. Passing on access credentials to third parties is not permitted.
(4) The access under paragraphs 2 and 3 ends when this contract ends.
(5) In respect of the work results that Schröder & Weische GmbH produces specifically for the CUSTOMER, in particular the optimization roadmap, analyses, concepts and briefings, the CUSTOMER receives a simple right, unlimited in time, to use them for its own business purposes. This right arises upon payment in full of the remuneration falling due under § 5 and continues beyond the term of this contract.
(6) Schröder & Weische GmbH remains entitled to continue to use without restriction the know-how applied in the cooperation, the underlying methods and any general insights gained.
(7) Advertising accounts, domains, tracking setups and other access of the CUSTOMER remain the property of the CUSTOMER. Schröder & Weische GmbH returns or releases access rights at the request of the CUSTOMER, and at the latest when this contract ends.
§ 9 Liability
(1) Schröder & Weische GmbH is liable without limitation for damage arising from injury to life, body or health, for intent and gross negligence, for fraudulently concealed defects, under any guarantee assumed, and under the German Product Liability Act.
(2) In cases of simple negligence, Schröder & Weische GmbH is liable only for the breach of a material contractual obligation. Material obligations are those the fulfilment of which makes the proper performance of this contract possible in the first place and on the observance of which the CUSTOMER may regularly rely. In such cases liability is limited to the foreseeable damage typical for this type of contract, and in total to no more than the total investment agreed under § 5 para. 1.
(3) Liability of Schröder & Weische GmbH is otherwise excluded.
(4) The limitations of liability in this clause also apply in favour of the legal representatives, employees and vicarious agents of Schröder & Weische GmbH.
(5) Liability for the economic success of the measures advised on is excluded (§ 7 para. 4). The same applies to damage arising from measures taken by third-party providers under § 3 para. 7.
§ 10 Confidentiality
(1) All information, documents and other non-obvious commercial and technical details, as well as all documents and documentation of whatever type and origin, including information transmitted orally, that one Party communicates, discloses, hands over or otherwise makes accessible to the other Party in connection with this contract, are confidential information within the meaning of this contract and are to be treated as confidential.
(2) The obligation to maintain confidentiality continues after the termination of this contract.
(3) If a Party is compelled by a court judgment or an official order to disclose confidential information of the other Party, it is released from the confidentiality obligations of this clause, but will inform the other Party of the disclosure to the extent permitted.
(4) Each Party remains free to disclose confidential information of the other Party for the purpose of defending or enforcing legal rights in court proceedings, including arbitration proceedings.
(5) The Parties agree that neither Party will leave negative reviews about the other Party on relevant review platforms such as Google or Trustpilot, unless the contractual relationship has been terminated prematurely for good cause under Sec. 314(1) BGB.
(6) Should a Party nevertheless write a negative review about the other Party, the Parties agree that any perceived grievances will be communicated to the other Party beforehand, so that they can be resolved between the Parties where possible.
(7) Any review written must also observe the confidentiality provisions of this contract.
(8) Article 5 of the German Basic Law (Grundgesetz) remains unaffected by § 10 paras. 5 to 7.
§ 11 Data Protection
(1) The Parties observe the applicable data protection law, in particular the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act.
(2) Insofar as Schröder & Weische GmbH processes personal data on behalf of the CUSTOMER under this contract, the Parties conclude a data processing agreement under Art. 28 GDPR before that processing begins. In matters of processing on behalf of a controller, that agreement takes precedence over this contract.
(3) The CUSTOMER remains the controller within the meaning of Art. 4 no. 7 GDPR. The CUSTOMER ensures that a valid legal basis exists for the processing of the data it provides or makes accessible, including the use of tracking and measurement technologies on its websites and in its advertising accounts, and that the required consents and information obligations are satisfied.
(4) Schröder & Weische GmbH obliges the employees and vicarious agents it deploys to maintain confidentiality.
§ 12 Final Provisions
(1) Where this contract or its annexes refer to sections without naming a statute, these are sections of this contract.
(2) Set-off, netting and the assertion of rights of retention by the CUSTOMER in respect of claims arising from or in connection with this contract are excluded, unless the counterclaim is undisputed or has been established by a final and binding decision. The right of Schröder & Weische GmbH to suspend performance under § 5 para. 9 remains unaffected.
(3) The Parties may assign rights and obligations under this contract, in whole or in part, only with the prior written consent of the other Party.
(4) Unless expressly agreed otherwise in this contract, this contract is concluded solely for the benefit of the Parties. It does not operate for the benefit of any third party, nor may any third party enforce it.
(5) This contract contains all agreements between the Parties regarding the cooperation and supersedes all provisions previously agreed between the Parties on the subject matter of this contract. No side agreements to this contract have been made in writing, orally or by implication. The annexes to this contract and the appendices attached to them form part of this contract.
(6) Amendments and additions to this contract must be made in writing, unless this contract expressly provides that text form is sufficient, and unless notarial form or another legally prescribed form is required. This also applies to this provision itself.
(7) The language of this contract, and of all communication relating to it, is English. The Parties have negotiated and concluded this contract in English.
(8) Should individual provisions of this contract be or become wholly or partly invalid or unenforceable, the validity of the remaining provisions remains unaffected. The Parties will replace the invalid or unenforceable provision with a valid provision that comes closest to the economic purpose of the original provision. The same applies to any gaps.
(9) This contract is governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods.
(10) To the extent legally permissible, the exclusive place of jurisdiction for legal disputes arising from or in connection with this contract, its formation or its performance is the registered office of Schröder & Weische GmbH. Schröder & Weische GmbH is, however, entitled to bring proceedings before any other court having jurisdiction.
Annex C · Accelerated Partnership
§ 6 Scope of application and relationship of the provisions in PART I. and PART II.
(1) All services and offers of Schröder & Weische GmbH are provided exclusively on the basis of these General Terms and Conditions. These are an integral part of all contracts that Schröder & Weische GmbH concludes with its contractual partners (hereinafter also referred to as "the customer") for the deliveries or services it offers. They shall also apply to all future services or offers to the customer, even if they are not separately agreed again.
(2) Terms and conditions of the customer or third parties shall not apply, even if Schröder & Weische GmbH does not separately object to their validity in individual cases. Even if Schröder & Weische GmbH refers to a letter or e-mail that contains or refers to the terms and conditions of the customer or a third party, this does not constitute agreement with the validity of those terms and conditions.
(3) Contractual provisions in PART I. of this contract shall always take precedence over the provisions in this PART II.. This shall also apply in the case of contradictory provisions or provisions with different possible interpretations.
(4) The services and offers of Schröder & Weische GmbH are aimed exclusively at entrepreneurs within the meaning of § 14 BGB and merchants (HGB).
§ 7 Services of Schröder & Weische GmbH, services of third parties, expenses to be remunerated separately
(1) Schröder & Weische GmbH provides comprehensive consulting and agency services for operators of online stores, in particular in the areas of online marketing and e-commerce. However, unless expressly agreed otherwise in writing, Schröder & Weische GmbH does not owe the customer the performance of a work or a specific success, in particular not the achievement of certain company key figures or turnover limits.
(2) The customer is advised that third-party providers (e.g. Facebook, Google) are entitled to stop or discontinue advertising campaigns and accounts at any time without giving reasons and may even delete them. Schröder & Weische GmbH is not responsible for such actions by third parties and Schröder & Weische GmbH's claim to remuneration remains unaffected in such cases, unless the blocking, deletion or similar was carried out by the third-party provider due to behavior and/or changes to the social media account in question for which Schröder & Weische is responsible.
(3) When services of third parties - with the exception of those selected by Schröder & Weische GmbH for the fulfillment of its own performance obligation – their subcontractors and vicarious agents - their terms and conditions shall apply. These are be observed by the customer.
(4) With regard to services and/or work to be provided by Schröder & Weische GmbH to the customer, Schröder & Weische services and/or work to be provided by Schröder & Weische GmbH to the customer is entitled to a right to determine performance in accordance with § 315 BGB.
(5) Schröder & Weische GmbH is entitled to have services owed to the customer also performed by vicarious agents / subcontractors and other suitable third parties.
(6) The customer is solely responsible for the legal conformity of any advertisements, websites and landing pages (including the legal notice and privacy policy). Any legal texts provided to the customer are merely to be understood as samples/placeholders and are to be checked by the customer for legal conformity on their own responsibility.
(7) Schröder & Weische GmbH is permitted to advertise with the customer's current company logo on the Internet and in social media. It may use the successes achieved in cooperation with the customer, in particular increases in turnover, as a reference for marketing purposes even after the termination of this contract.
(8) The rectification of errors in the store that were not caused by Schröder & Weische GmbH shall be remunerated separately by the customer. The remuneration for such troubleshooting shall amount to €150 per hour. The customer shall receive a cost estimate for this, which he/she must confirm before the troubleshooting services are provided.
§ 8 Services subject to acceptance
(1) The services of Schröder & Weische GmbH are generally subject to service contract law. Insofar as an agreed service is, by law, predominantly subject to the law on contracts for work and services and thus requires acceptance, the following paragraphs 2-6 shall only apply in relation to these services.
(2) Schröder & Weische GmbH may require the customer to accept the partial service after completion of the respective partial service and, after completion of all adaptation services, additionally an overall acceptance of all services.
(3) The acceptance of the services requires a functional test by the customer. The functional test has been carried out successfully if the customization services meet the agreed requirements.
(4) If the functional test is carried out successfully, the customer must declare acceptance immediately in text form. Schröder & Weische GmbH may request the customer to accept part or all of the work within a period of one week. The work shall be deemed to have been accepted upon expiry of the deadline if the customer has not declared in writing to Schröder & Weische GmbH which defects still need to be rectified. The customer shall prepare a record of any defects and provide it to Schröder & Weische GmbH in text form. The risk of transmission lies with the customer.
(5) In the event of a significant defect, Schröder & Weische GmbH shall be entitled to rectify the defect twice within a reasonable period to be set by the customer.
(6) The (partial) service to be accepted by Schröder & Weische GmbH shall also be deemed to have been accepted if the customer does not declare acceptance of the respective (partial) service in writing within one week of being requested to do so by Schröder & Weische GmbH.
§ 9 Obligations of the customer to cooperate, communication with Schröder & Weische GmbH, delays in the provision of services caused by the customer
(1) The customer must always perform the acts of cooperation incumbent upon him in full and on time at the first request of Schröder & Weische GmbH. All acts of cooperation to be provided by the customer and the fulfillment of the customer's obligations to cooperate are a prerequisite for the contractual provision of services by Schröder & Weische GmbH. If the customer does not fulfill these obligations or does not fulfill them on time, any resulting increases in fees or postponements shall be borne by the customer. If the customer fails to cooperate and thus prevents Schröder & Weische GmbH from providing the service, Schröder & Weische GmbH's claim to remuneration shall remain unaffected.
(2) Specifically, the customer must fulfill the following obligations to cooperate: - Provide Google Tools access with admin permissions at the account level or the customer shall independently add all team members of Schröder & Weische GmbH to all tools (in particular Google Analytics, Google Tag Manager, Google Optimize), - Provision of Hotjar access with admin authorizations at the account level or the customer adds all team members of Schröder & Weische GmbH independently to all tools. In order to obtain a sufficient amount of user feedback, the customer may have to subscribe to an "Ask" plan from Hotjar.
Provision of Microsoft Clarity access with admin authorizations at the account level or the customer adds all team members of Schröder & Weische GmbH independently to all tools.
Provision of store backend access with admin authorizations for developers for Customization/implementation of implemented tools and/or successful tests on the store, which is made accessible to Schröder & Weische GmbH.
Provision of a summary/access to A/B tests previously carried out on the store and the testing of raw data.
Providing users and/or customers with a summary/access to surveys previously conducted on the store.
Provision of already planned adjustments/changes to the store and/or the marketing strategy of the store (e.g. special offers). - Summary of the USPs and advantages of the products offered in the store. - Granting of access to the customer's GA4 account with the authorization to adjust the settings for Schröder & Weische GmbH; ideally the granting of admin authorizations so that Schröder & Weische GmbH can create a BigQuery account and link the account to the customer's GA4. and link the account to the customer's GA4. This is necessary for the evaluation of the A/B tests of Schröder & Weische GmbH in order to obtain the most reliable results for tests in the evaluation, because BigQuery gives Schröder & Weische GmbH access to the unprocessed raw data, whereas Google Analytics only provides all data in its reports approximately and can influence the test result due to the type of data processing.
The customer must provide Schröder & Weische GmbH with the content and assets required to carry out the tests within 3 working days of the request. Otherwise, the service may not be provided on time and/or may be delayed.
Changes made by the customer to the testing roadmap planned by Schröder & Wesiche GmbH (in terms of time and/or content) may delay the provision of services by Schröder & Wesiche GmbH.
If Schröder & Weische GmbH has agreed on a specific test with the customer and the customer is unable to provide the content and/or technical information required to carry out the test, the provision of services by Schröder & Weische GmbH may be delayed. In such cases, the provision of services by Schröder & Weische GmbH may also be delayed by a longer period of time because the employees are already scheduled differently.
If Schröder & Weische GmbH has agreed on a test with the customer and the customer subsequently decides that it no longer wishes to carry out the test and wishes to carry out another test instead, the provision of services may be delayed and promised services cannot be provided on time, but are provided with a delay. In such cases, the provision of services by Schröder & Weische GmbH may also be delayed by a longer period of time because the employees are already scheduled differently.
If a customer decides to switch off a test prematurely, this test shall nevertheless count towards the customer's quota and shall be remunerated accordingly. - If the customer changes the settings of a test that is already running, the provision of services by Schröder & Weische GmbH may be delayed.
(3) Due to the nature of the services owed, Schröder & Weische GmbH is dependent on close communication with the customer.
The customer shall respond to messages from Schröder & Weische GmbH within a maximum of 24 hours Schröder & Weische GmbH from Monday to Friday (the start and end of these days in and end of these days in Germany) - The customer must provide feedback on a test design within three working days. Otherwise, the service may not be provided on time and/or may be delayed Schröder & Weische GmbH reserves the right to "go live" a test without feedback from the customer after three working days if no feedback is received from the customer in order to keep delays to a minimum.
Planned changes to the store must be communicated by the customer to Schröder & Weische GmbH in good time. If changes are made to the store, in particular to the layout, structure and/or programming, without informing Schröder & Weische GmbH in advance, it may be necessary for Schröder & Weische GmbH to rectify errors (for errors that were not caused by Schröder & Weische GmbH) in order to restore the functional status of Schröder & Weische GmbH's tests on the store.
Non-communication (refusal to respond) on the part of the customer is not grounds for termination by the customer and does not lead to termination of the contract. - Communication between the customer and Schröder & Weische GmbH regarding details of cooperation and service provision takes place via Slack. If the customer subsequently decides to use a different communication channel, delays in fulfillment are to be expected because the communication is then no longer centralized and visible to all employees of Schröder & Weische GmbH.

For example, it must be clearly defined by the customer which person on the customer side must approve the A/B test designs for specific stores.
The number of agreed tests / target number of tests can only be met if the customer complies with the above provisions in the communication.
The customer must submit his brand guideline to Schröder & Weische GmbH within the first 24 hours after the start of the contract, if available (brand book, designs, colors, fonts), so that the designers of Schröder & Weische GmbH can create the designs to match the CI of the store right from the start and the designs do not have to be subsequently adapted due to visual deviations from the design of the rest of the store.
The customer shall provide Schröder & Weische with all necessary assets (images, logos, icons, etc.) within the first week of the start of the contract so that designs can be created without delays. - Customer feedback on a test design must be submitted within three working days (the start and end of working days in Germany are decisive). Otherwise, Schröder & Weische GmbH may not be able to meet the deadline. Precise change requests regarding the design must be submitted by the customer within these 3 working days. If the design has to be changed more than once due to the customer's wishes before the test is passed on to programming, the provision of the service may be delayed. If the design has to be adapted according to the customer after the test has been passed on to the programming department at Schröder & Weische GmbH, the provision of services by Schröder & Weische GmbH may be delayed.
§ 10 Payments, prices, conditions
(1) The prices that agreed in writing between Schröder & Weische GmbH and the customer are binding. The prices communicated are net prices in each case plus statutory value added tax.
(2) The contractually agreed remuneration shall be paid by the customer within 10 days of invoicing by Schröder & Weische GmbH, without the need for a further request/reminder from the customer. The date of receipt by Schröder & Weische GmbH shall be decisive. The customer is obliged to pay the remuneration in advance. Payment shall be made by means of a SEPA direct debit mandate/subscription from a payment service provider to be issued to Schröder & Weische GmbH. The customer is obliged to issue a written SEPA direct debit mandate or other necessary declarations for the collection of the remuneration via a payment service provider (currently GoCardless STRIPE or WISE). A (SEPA) direct debit authorization issued by the customer to Schröder & Weische GmbH or a corresponding subscription with a payment service provider shall also apply to the further business relationship between the contracting parties until revoked. In the event that agreed direct debits cannot be collected from the customer's account and a chargeback occurs, the customer is obliged to transfer the amount owed to Schröder & Weische GmbH within three working days of the chargeback and to bear the costs incurred as a result of the chargeback. In the event that payments are to be processed through a payment service provider, Client agrees that all payments due and owing under this Agreement shall be made directly to Agency by automated funds transfer (ACH payment) from the bank/credit card account provided by Client with the quote submitted by Agency to Client. In this regard, Client agrees to execute and deliver to Agency an Authorization Agreement with the direct payment link to be provided by Agency, which, among other things, irrevocably authorizes Agency to initiate ACH transfers from the bank/credit card account to Agency in the amounts permitted under this Agreement. For purposes of this paragraph, all payments shall be due and payable on the 1st of each calendar month for the month(s) in question. A valid backup credit card is required in the system/file when possible.
If the payment via the service provider Stripe Payments Europe, Limited (SPEL) or the service provider Wise Europe SA/NV or GoCardless is chosen by the customer, the customer must ensure that the payment is received by Schröder & Weische GmbH and create all necessary conditions for this and maintain them during the term of the contractual relationship with Schröder & Weische GmbH the term of the contractual relationship with Schröder & Weische GmbH maintained.
(3) A offsetting against counterclaims of the customer that are not recognized or have not been counterclaims of the customer that have not been recognized or are pending a excluded. § 11 Default of the customer
(1) Deadlines for the provision of services by Schröder & Weische GmbH shall not commence before the agreed invoice amount has been received by Schröder & Weische GmbH and the data required for the services has been received in full by Schröder & Weische GmbH in accordance with the agreement or the necessary cooperation has been provided in full by the customer.
(2) If the customer is in arrears with payments due, Schröder & Weische GmbH reserves the right not to perform further services until the outstanding amount has been settled. Deferrals granted can be terminated immediately by Schröder & Weische GmbH in the event of default of payment with individual installments, so that the outstanding amount of the project lump sum must be paid immediately.
§ 12 Term, ordinary termination, extraordinary termination
(1) The contract shall have the term individually agreed between the contracting parties.
(2) Any free termination rights during the term of the contract are excluded.
(3) All notices of termination must be in writing to be effective.
(4) The right to extraordinary termination for good cause shall always remain unaffected.
§ 13 Conduct and consideration
The customer must ensure the customary conduct of an honest businessman towards Schröder & Weische GmbH. Schröder & Weische GmbH reserves the right to prosecute under civil law any unlawful and/or inappropriate or unfounded statements about its company and its services, whether by customers, competitors or other third parties, in particular untrue factual claims and abusive criticism, and also to bring criminal charges without prior notice. The contracting parties undertake to cooperate closely and fairly. They are aware that the project can only be carried out successfully with a joint effort.
§ 14 Rights of use
(1) Upon full payment of the agreed remuneration, the customer shall receive the simple, temporally and spatially unlimited right to use, reproduce and process the work results provided by Schröder & Weische GmbH for internal applications and purposes and to combine them with other programs or materials. The transfer of rights of use does not include the transfer to third parties, including the customer's group companies. Schröder & Weische GmbH transfers the simple rights of use revocably for the duration of use until full payment has been made, subject to full payment.
(2) If payment by installments has been agreed, the right of use specified in paragraph 1 shall not pass to Schröder & Weische GmbH until the last installment has been paid in full, unless otherwise agreed individually.
(3) The transfer of work and service results to third parties (including affiliated companies) is excluded. The same applies to processing in accordance with § 23 UrhG.
§ 15 Liability
(1) Schröder & Weische GmbH shall be liable in the event of fraudulent intent, intent or gross negligence in accordance with the statutory provisions. Schröder & Weische GmbH shall only be liable for slight negligence if this involves the breach of an essential obligation, the fulfillment of which is essential for the proper execution of the contract (cardinal obligation) and on the observance of which the customer may regularly rely. In cases of a slightly negligent breach of a material obligation, liability shall be limited in amount to the typical damage for comparable orders of this type, which was foreseeable at the time the order was placed or at the latest when the breach of duty was committed.
(2) However, Schröder & Weische GmbH shall only be liable for damages that are based on the absence of this guaranteed quality or durability, but do not occur directly on the subject matter of the contract, if the risk of such damage is obviously also covered by the quality and durability guarantee.
(3) If the fulfillment of an obligation under this contract cannot be performed due to force majeure (natural disasters, war, civil war, popular uprising, state of emergency, strike, terrorist attack and other events of comparable scope), this shall not constitute a breach of contract.
(4) Within the limits of paragraphs 1 and 2, Schröder & Weische GmbH shall not be liable for loss of data and programs. Liability for loss of data shall be limited to the typical restoration costs that would have been incurred if backup copies had been made regularly and in accordance with the risks involved. Liability under the Product Liability Act shall always remain unaffected, as shall liability for the assumption of a guarantee.
(5) The customer is obliged to prevent and minimize damage, for example by backing up data and using state-of-the-art virus protection.
(6) The customer warrants that the working materials provided to Schröder & Weische GmbH (e.g. photos, texts, videos) are free of third-party rights and that the necessary authorizations for the purposes of the main contract have been obtained. In this respect, the customer shall indemnify Schröder & Weische GmbH against any third-party claims.
§ 16 Tool/Software
Schröder & Weische GmbH has developed a tool/software (hereinafter "Tool") that the customer can access to create user-defined reports for data from Google Analytics and to provide the customer with insights into target groups and A/B tests as well as to carry out comparative analysis from the reports created.
§ 17 Confidentiality
(1) The contracting parties shall treat all information and documents which they receive or become aware of from or about the contracting party as strictly confidential, at least with the same care as their own information of the same kind. Objects shall be stored and secured in such a way that third parties cannot gain knowledge of them or misuse them. These obligations apply in particular to software and data. They shall remain in force in perpetuity even after termination of the contract.
(2) Information and documents may only be used for the purpose of executing the contract. They may only be passed on to those employees, subcontractors and specialists who need to know them for the execution of the contract. Employees, subcontractors and specialists shall, at the request of a contracting party, be bound in writing directly in favor of the other contracting party to confidentiality in accordance with these rules. The respective contracting party may request a copy of the declaration of commitment.
(3) The confidentiality obligation shall not apply to information and documents which are or become public knowledge without this being due to a breach of contract by the contracting party or which the receiving contracting party has received from third parties who are authorized to disclose them to the general public. Anyone invoking these exceptions shall bear the burden of proof.
(4) A confidentiality agreement (NDA) concluded separately between the customer and Schröder & Weische shall remain in force and continue to apply. Section 19 (4) of this contract shall not apply to it.
§ 18 Data protection
(1) The contracting parties shall observe the provisions of data protection law. Each contracting party shall oblige the persons working on its side in writing to observe data protection and to maintain confidentiality and shall prove this to the other contracting party on request.
(2) The contracting parties assume that Schröder & Weische will not become aware of any personal data from the customer's environment in connection with the project. Should this be otherwise, Schröder & Weische GmbH shall act on behalf of the customer within the meaning of Art. 28 GDPR. Schröder & Weische GmbH will therefore only use the personal data within the scope of this contract or other written instructions from the customer and in accordance with the provisions of data protection law. The contracting parties are then obliged to conclude an agreement on order processing in accordance with Art. 28 GDPR. Insofar as it is necessary for the execution of the order that the customer grants Schröder & Weische GmbH access to personal data, the personnel and subcontractors employed must also be informed of the obligations under data protection law and obliged to comply with the provisions of data protection law.
§ 19 Schlussbestimmungen
The contractual language is German. If Schröder & Weische GmbH provides the customer with an English translation of this contract as a service, the German contract text shall be exclusively authoritative in the event of deviations from the German contract text or provisions of the English text that require interpretation.
(2) For this contract shall be governed by German law to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
(3) The Parties agree that all disputes arising from and in connection with this disputes arising from and in Connection with this contract, the exclusive jurisdiction of the courts at the registered office of Schröder & Weische GmbH, insofar as the requirements of § 38 ZPO are met. Schröder & Weische GmbH is however, is entitled to appeal to any other competent court.
(4) This contract replaces all previous agreements and contracts between the contracting parties. There are no verbal collateral agreements.
(5) Amendments to this contract, including this clause, must be made in text form and must be expressly designated as such.
(6) Should one or more provisions of the contract be or become invalid or unenforceable for factual or legal reasons, this shall not affect the validity of the remaining provisions of the contract. The same applies to a loophole. Schröder & Weische GmbH and the customer are obliged to replace the invalid or unenforceable provision with a valid provision that comes as close as possible to the economic intent of the invalid or unenforceable provision. If no agreement is reached on this, the invalid provision shall automatically be replaced by the valid provision that comes closest to the economic purpose of this contract. The same applies to an unintended loophole.
Teil A · Allgemeines
1. Wer Ihr Vertragspartner ist
Vertragspartner ist für alle drei Programme die Schröder & Weische GmbH, Heimhuder Straße 30, 20148 Hamburg, eingetragen im Handelsregister B des Amtsgerichts Hamburg unter HRB 168386, vertreten durch die Geschäftsführer Carl Weische und Lars Schröder.
2. Welche Bedingungen für Sie gelten
Diese Bedingungen bestehen aus diesem allgemeinen Teil A und den drei nachstehenden Anlagen. Für Sie gilt ausschließlich die Anlage zu dem von Ihnen gebuchten Programm. Die Anlagen gelten nicht füreinander.
3. Rangfolge
(1) Eine individuell unterzeichnete Vereinbarung zwischen Ihnen und der jeweiligen Gesellschaft geht dieser Seite vor.
(2) Die Anlage zu Ihrem Programm geht diesem Teil A vor.
(3) Enthält eine Anlage selbst eine Rangfolge, gilt diese innerhalb der Anlage.
4. Nur Unternehmer
Alle drei Programme richten sich ausschließlich an Unternehmer im Sinne des § 14 BGB und an Kaufleute im Sinne des HGB. Ein Angebot an Verbraucher erfolgt nicht.
5. Sprache
Maßgebliche Sprache ist für alle drei Programme Deutsch. Englische Fassungen sind unverbindliche Übersetzungen. Der Stand der jeweiligen Anlage steht an deren Anfang.

Anlage A · The Ecommerce Protocol
Präambel
Der Dienstleister bietet das digitale Programm „The Ecommerce Protocol“ an, in dessen Rahmen Inhalte, Werkzeuge und Begleitformate zur eigenverantwortlichen Umsetzung im Bereich E-Commerce bereitgestellt werden. Der Dienstleistungsempfänger möchte am Programm teilnehmen und Zugang zu den nachstehend beschriebenen Leistungen erhalten. Dies vorausgeschickt, vereinbaren die Parteien Folgendes:
§ 1 Vertragsgegenstand und Leistungsbeschreibung
(1) Gegenstand dieses Vertrages ist die entgeltliche Bereitstellung des Zugangs zum Programm „The Ecommerce Protocol“ sowie der nachfolgend beschriebenen Begleitleistungen für die in § 4 geregelte Dauer.
(2) Die Programmlaufzeit beträgt zwölf (12) Wochen. Der Zugang zu den Inhalten und Begleitleistungen wird für einen Gesamtzeitraum von sechs (6) Monaten ab Freischaltung gewährt (§ 4).
(3) Der Dienstleister erbringt im Rahmen des Programms die folgenden Leistungen:
Videokurs mit zwölf (12) Kapiteln, gehostet auf der Plattform „Skool“. Die Kapitel werden wöchentlich sukzessive freigeschaltet;
drei (3) Gruppencalls pro Woche per „Zoom“ von je 60 Minuten. Die Calls finden ausschließlich im Gruppenformat statt und werden aufgezeichnet; ein Anspruch auf Einzel- bzw. 1:1-Betreuung besteht nicht;
je eine (1) Umsetzungsaufgabe pro Woche. Der Dienstleistungsempfänger kann sein Arbeitsergebnis in den Gruppencall einbringen und erhält dort eine allgemeine, gruppenbezogene Rückmeldung des Teams. Es finden keine Tests statt; es erfolgt keine Benotung, keine individuelle Lernerfolgskontrolle sowie keine Verleihung eines Zertifikats, Abschlusses oder sonstigen Nachweises;
Zugang zu einer Community auf der Plattform „Skool“; Fragen werden durch einen Customer Success Manager beantwortet;
Zugang zu einer Bibliothek mit Vorlagen und Standardarbeitsanweisungen (SOPs);
Zugang zu zwei (2) KI-gestützten Softwarekomponenten zur Unterstützung bei Research, Copywriting, Anzeigenskripten und Seitenaufbau.
(4) Der Dienstleister schuldet die Bereitstellung der vorgenannten Inhalte und Formate (Tätigkeit/Bemühen), nicht jedoch einen bestimmten wirtschaftlichen oder sonstigen Erfolg. Ein bestimmter Umsatz-, Absatz- oder Geschäftserfolg wird ausdrücklich nicht geschuldet und nicht zugesagt.
(5) Der Dienstleister ist berechtigt, einzelne Inhalte, Termine, Plattformen und eingesetzte Werkzeuge zu aktualisieren oder durch gleichwertige zu ersetzen, soweit dies den Vertragszweck nicht wesentlich beeinträchtigt.
§ 2 Zustandekommen des Vertrages und Zugang
(1) Der Vertrag kommt zustande, indem der Dienstleistungsempfänger das Angebot des Dienstleisters durch den Abschluss des Bestell- und Zahlungsvorgangs über den Zahlungsdienstleister Stripe annimmt. Die Freischaltung des Zugangs erfolgt im Anschluss nach vollständigem Eingang der Vergütung (§ 3 Abs. 5).
(2) Der Zugang zu den Plattformen (Skool, Zoom, KI-Komponenten) erfolgt über persönliche Zugangsdaten. Diese sind vertraulich zu behandeln und dürfen nicht an Dritte weitergegeben werden.
(3) Der Dienstleister gibt den Zugang zu den Leistungen erst nach vollständigem Eingang der Vergütung frei (vgl. § 3 Abs. 5 und § 7).
§ 3 Vergütung und Fälligkeit
(1) Die Vergütung für die Teilnahme am Programm ergibt sich aus dem im Bestellvorgang angezeigten Betrag.
(2) Die Vergütung versteht sich netto zuzüglich der jeweils geltenden gesetzlichen Umsatzsteuer.
(3) Die Vergütung ist mit Vertragsschluss (§ 2 Abs. 1) in voller Höhe zur Zahlung fällig und ohne Abzug zu entrichten.
(4) Die Zahlung erfolgt über den Zahlungsdienstleister Stripe.
(5) Die Freischaltung des Videokurses sowie der Beginn der Leistungserbringung im Übrigen (insbesondere Zugang zu Gruppencalls, Community, Vorlagen und KI-Komponenten) erfolgen erst mit vollständigem Eingang der Vergütung beim Dienstleister. Bis zum vollständigen Zahlungseingang ist der Dienstleister zur Leistungserbringung und zur Freischaltung des Zugangs nicht verpflichtet.
(6) Eine anteilige Rückerstattung der Vergütung bei Nichtinanspruchnahme einzelner Leistungen oder vorzeitiger Beendigung der Nutzung durch den Dienstleistungsempfänger erfolgt nicht, soweit gesetzlich zulässig und vorbehaltlich zwingender Rechte des Dienstleistungsempfängers.
§ 4 Programmdauer und Zugangszeitraum
(1) Die aktive Programmbegleitung (Freischaltung der Kapitel, Gruppencalls, Umsetzungsaufgaben) erstreckt sich über zwölf (12) Wochen ab Freischaltung.
(2) Der Zugang zu den bereitgestellten Inhalten, Aufzeichnungen, Vorlagen und KI-Komponenten besteht für insgesamt sechs (6) Monate ab Freischaltung. Mit Ablauf dieses Zeitraums endet der Zugang automatisch, ohne dass es einer Kündigung bedarf.
(3) Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt für beide Parteien unberührt.
§ 5 Nutzungsrechte und geistiges Eigentum
(1) Sämtliche Inhalte des Programms (insbesondere Videos, Vorlagen, SOPs, Texte, Aufzeichnungen und Software) sind urheberrechtlich geschützt und verbleiben im Eigentum des Dienstleisters bzw. der jeweiligen Rechteinhaber.
(2) Der Dienstleistungsempfänger erhält ein einfaches, nicht übertragbares, räumlich unbeschränktes Nutzungsrecht zur eigenen Nutzung für die Dauer des Zugangszeitraums. Eine Vervielfältigung, Weitergabe, öffentliche Zugänglichmachung oder kommerzielle Verwertung der Inhalte gegenüber Dritten ist untersagt.
(3) Aufzeichnungen der Gruppencalls dienen ausschließlich dem internen Gebrauch des Dienstleistungsempfängers im Rahmen des Programms.
§ 6 Pflichten und Obliegenheiten des Dienstleistungsempfängers
(1) Der Dienstleistungsempfänger ist für die technischen Voraussetzungen zur Nutzung (u.a. Internetzugang, geeignete Endgeräte, Nutzerkonten bei den eingesetzten Plattformen) selbst verantwortlich.
(2) Die Umsetzung der Inhalte und etwaige geschäftliche Entscheidungen erfolgen in alleiniger Verantwortung des Dienstleistungsempfängers.
(3) Der Dienstleister erbringt keine Rechts-, Steuer- oder Anlageberatung. Solche Beratung ist erforderlichenfalls bei entsprechend qualifizierten Berufsträgern einzuholen.
§ 7 Hinweis nach dem Fernunterrichtsschutzgesetz (FernUSG); Zahlung in Kenntnis der Nichtschuld
(1) Der Dienstleister weist ausdrücklich darauf hin, dass für das Programm „The Ecommerce Protocol“ keine Zulassung durch die Staatliche Zentralstelle für Fernunterricht (ZFU) nach § 12 Abs. 1 FernUSG vorliegt.
(2) Der Dienstleister weist ferner darauf hin, dass nicht ausgeschlossen werden kann, dass das Programm ganz oder teilweise als Fernunterricht im Sinne des § 1 Abs. 1 FernUSG einzuordnen ist. In diesem Fall könnte der Vertrag nach § 7 Abs. 1 FernUSG unwirksam sein und dem Dienstleistungsempfänger könnten Ansprüche – insbesondere auf Rückzahlung geleisteter Beträge nach § 812 Abs. 1 Satz 1 BGB – zustehen.
(3) Der Dienstleistungsempfänger nimmt diesen Hinweis zur Kenntnis. Er leistet die Vergütung nach § 3 in Kenntnis dessen, dass eine Zahlungsverpflichtung nach den vorstehenden Ausführungen möglicherweise nicht besteht (Kenntnis der Nichtschuld, § 814 BGB). Der Dienstleister erbringt seine Leistungen erst nach Eingang der Zahlung.
§ 8 Gesonderte Vereinbarung: Verzicht auf etwaige Ansprüche nach dem FernUSG
(1) Die nachstehende Regelung wird als von den übrigen Bestimmungen dieses Vertrages gesonderte und eigenständige Vereinbarung getroffen.
(2) Der Dienstleistungsempfänger verzichtet – vorbehaltlich der Wirksamkeit dieser Vereinbarung – auf die Geltendmachung etwaiger Ansprüche, die ihm aufgrund einer möglichen Anwendbarkeit des FernUSG gegen den Dienstleister zustehen könnten, insbesondere auf Rückforderungsansprüche wegen einer etwaigen Unwirksamkeit des Vertrages nach § 7 Abs. 1 FernUSG.
(3) Die übrigen Regelungen dieses Vertrages bleiben von der Wirksamkeit oder Unwirksamkeit dieser Vereinbarung unberührt.
§ 9 Haftung
(1) Der Dienstleister haftet unbeschränkt für Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit sowie für Schäden, die auf Vorsatz oder grober Fahrlässigkeit beruhen.
(2) Bei einfacher Fahrlässigkeit haftet der Dienstleister nur bei Verletzung einer wesentlichen Vertragspflicht (Kardinalpflicht) und begrenzt auf den vertragstypischen, vorhersehbaren Schaden.
(3) Im Übrigen ist die Haftung ausgeschlossen. Die Haftung nach dem Produkthaftungsgesetz bleibt unberührt.
§ 10 Datenschutz
Der Dienstleister verarbeitet personenbezogene Daten des Dienstleistungsempfängers nach Maßgabe der geltenden datenschutzrechtlichen Bestimmungen (insbesondere DSGVO und BDSG). Einzelheiten ergeben sich aus der Datenschutzinformation des Dienstleisters.
§ 11 Schlussbestimmungen
(1) Änderungen und Ergänzungen dieses Vertrages bedürfen der Textform. Dies gilt auch für die Änderung dieser Klausel.
(2) Es gilt das Recht der Bundesrepublik Deutschland. Ist der Dienstleistungsempfänger Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, ist ausschließlicher Gerichtsstand Hamburg.
(3) Sollte eine Bestimmung dieses Vertrages ganz oder teilweise unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt. Anstelle der unwirksamen Bestimmung gilt die gesetzliche Regelung.
(4) Dieser Vertrag wird in deutscher und englischer Sprache abgefasst. Bei Abweichungen oder Auslegungsunterschieden zwischen den beiden Sprachfassungen ist ausschließlich die deutsche Fassung maßgeblich.
Elektronischer Vertragsschluss
Dieser Vertrag wird elektronisch geschlossen und kommt gemäß § 2 Abs. 1 dadurch zustande, dass der Dienstleistungsempfänger das Angebot des Dienstleisters durch den Abschluss des Bestell- und Zahlungsvorgangs über den Zahlungsdienstleister Stripe annimmt. Einer eigenhändigen Unterschrift der Parteien bedarf es nicht.
Die Angaben zur Person des Dienstleistungsempfängers sowie Datum und Uhrzeit des Vertragsschlusses ergeben sich aus den im Bestell- und Zahlungsvorgang bei Stripe erfassten Daten. Mit Abschluss des Bestellvorgangs bestätigt der Dienstleistungsempfänger die Richtigkeit seiner Angaben sowie die Kenntnisnahme dieses Vertrages einschließlich der Hinweise nach § 7.
Anlage B · Accelerated Advisory
§ 1 Readability and Preamble
(1) Schröder & Weische GmbH and the CUSTOMER are hereinafter referred to collectively as the Parties or Cooperation Partners, and individually as a Party.
(2) Schröder & Weische GmbH advises companies on paid customer acquisition, offer development and conversion optimization. Through in-depth analysis, systematic testing strategies and data-driven decisions, Schröder & Weische GmbH helps companies to scale their customer acquisition profitably and to measurably increase the efficiency of their digital sales channels. Under this contract, Schröder & Weische GmbH provides the CUSTOMER with advisory services based on a done-with-you consulting model. The purpose is to identify growth and optimization potential together with the CUSTOMER, to derive specific measures and to support their implementation in an advisory capacity. The Parties intend to enter into a cooperation while maintaining their legal independence, excluding any engagement as an independent commercial agent, and having regard to their respective responsibilities.
(3) The Parties intend to work together effectively and successfully for their mutual benefit. On this basis, the Parties agree as follows.
§ 2 Subject and Services of the Cooperation
(1) The subject of the cooperation is the provision of advice and services by Schröder & Weische GmbH across the areas set out in this clause.
(2) The measures listed below are a catalogue of possible measures. Which of them are applied, in what order and to what depth is determined for each engagement on the basis of the roadmap under § 7 para. 1 and on the situation, resources and priorities of the CUSTOMER. Not every measure listed is relevant to, or applied for, every CUSTOMER.
2.1 Offer and Positioning

§ 3 Rights and Obligations of the Parties
(1) The Parties grant each other access to all documents and provide all information that relates to the obligations owed under this contract and that is necessary to carry out the cooperation.
(2) The CUSTOMER supports the services of Schröder & Weische GmbH through appropriate acts of cooperation. The CUSTOMER names a responsible contact person for this purpose and makes available the access, data and information required for the provision of the services within ten working days of a request. The CUSTOMER responds within five working days to requests from Schröder & Weische GmbH that require a decision by the CUSTOMER. If the CUSTOMER fails to perform such acts of cooperation after repeated requests, this does not affect the remuneration claims of Schröder & Weische GmbH. Sec. 615 of the German Civil Code (BGB) applies to this contract.
(3) Schröder & Weische GmbH is free to choose the place of performance and is not bound to fixed times for the provision of its services.
(4) Schröder & Weische GmbH is entitled to have the services provided by vicarious agents, subcontractors and other suitable third parties.
(5) Schröder & Weische GmbH may use the name and logo of the CUSTOMER, as well as specific results attributable to the CUSTOMER, for reference and marketing purposes only with the prior consent of the CUSTOMER. Consent may be given in text form (Textform within the meaning of Sec. 126b BGB). Once given, it also applies beyond the term of this cooperation unless revoked in text form. Without separate consent, Schröder & Weische GmbH may use results achieved in anonymized form, provided that the CUSTOMER cannot be identified as a result.
(6) If the Parties conclude additional non-disclosure agreements, § 3 para. 5 of this contract does not apply to the extent that it is expressly excluded there.
(7) Third-party providers such as Meta or Google reserve the right to restrict, deactivate or delete advertising campaigns or accounts at any time and without stating reasons. Schröder & Weische GmbH bears no responsibility in such cases and its claim to remuneration remains unaffected. This does not apply where it is demonstrated that fault on the part of Schröder & Weische GmbH caused the measures taken by the third-party provider.
(8) The CUSTOMER is responsible for the legal compliance of all content. Schröder & Weische GmbH will act to the best of its knowledge and belief in respect of materials it produces for the CUSTOMER. If the CUSTOMER has any doubts as to legal compliance, the CUSTOMER must have this reviewed at its own expense.
§ 4 Status of the Parties
The Parties provide their services under this contract as independent cooperation partners. This contract does not create an employment relationship, a commercial agency agreement or a partnership between the Parties.
§ 5 Remuneration
(1) Schröder & Weische GmbH receives a flat-rate total investment for a contract term of six months. The amount of the total investment is set out in the individual agreement.
(2) Installment 1 covers contract months 1 to 3 and amounts to one half of the total investment. This installment is due upon conclusion of the contract.
(3) Installment 2 covers contract months 4 to 6 and amounts to one half of the total investment. This installment is due at the beginning of the fourth contract month. It does not fall due if the CUSTOMER exercises the special right of termination under § 6 para. 3 within the applicable deadline.
(4) All prices, fees and remuneration are exclusive of statutory value added tax.
(5) Billing is processed via the payment service provider Stripe. The CUSTOMER provides a valid means of payment for this purpose and authorizes Schröder & Weische GmbH to collect the installments falling due under paragraphs 2 and 3 via that means of payment on the respective due date. If billing is carried out by invoice in an individual case, the remuneration is payable when due against a proper invoice within fourteen days at the latest.
(6) Payment plans deviating from paragraphs 2 and 3, in particular monthly installments, require an agreement in text form (Textform within the meaning of Sec. 126b BGB). This does not affect the total investment under paragraph 1.
(7) The focus of the work falls at the beginning of each of the two contract sections, contract months 1 to 3 and contract months 4 to 6, because this is where the in-depth audits and testing, the advisory work and in particular the complete setup of all systems take place. The agreed remuneration is therefore not refundable if the cooperation ends prematurely, unless there is good cause within the meaning of Sec. 314(1) BGB.
(8) Any deferrals granted may be revoked immediately by Schröder & Weische GmbH in the event of premature termination of this cooperation within the meaning of § 5 para. 7.
(9) If the CUSTOMER is in default with a payment that has fallen due, Schröder & Weische GmbH is entitled, after an unsuccessful reminder and the expiry of a reasonable grace period of at least ten calendar days, to suspend the further provision of services including the access under § 7 para. 1 until payment has been received in full, and to terminate this contract for good cause. The claim to remuneration for the affected contract section remains unaffected. Statutory default interest under Sec. 288(2) BGB remains unaffected.
§ 6 Commencement and Term of the Contract
(1) The cooperation begins on the start date set out in the individual agreement. If no start date is entered, the date of the last signature to this contract is deemed to be the start date. Contract months are calculated from the start date.
(2) This cooperation agreement is concluded for a fixed term of six months from the start date.
(3) The CUSTOMER may terminate this contract with effect from the end of the third contract month (special right of termination). Notice of termination must reach Schröder & Weische GmbH no later than seven (7) days before the end of the third contract month. Notice requires text form (Textform within the meaning of Sec. 126b BGB); an email to finance@acceleratedagency.com is sufficient. If the CUSTOMER exercises the special right of termination within the deadline, the contract ends at the end of the third contract month and installment 2 under § 5 para. 3 does not fall due.
(4) If the special right of termination under paragraph 3 is not exercised within the deadline, the contract continues until the end of the sixth contract month without any further declaration by either Party.
(5) The contract ends at the end of the sixth contract month without notice of termination being required. There is no automatic extension. Before the end of the term, the Parties will hold a joint call regarding a possible continuation of the cooperation. An extension only takes effect if both Parties agree on term and remuneration in text form.
(6) The right of either Party to terminate this contract for good cause without notice under Sec. 314(1) BGB remains unaffected.
§ 7 Provision of Services, Access and Billing
(1) Immediately after conclusion of the contract and receipt of installment 1 under § 5 para. 2, the CUSTOMER receives access to the online learning platform including the SOPs, frameworks and trainings hosted there, access to the dedicated communication channel for ongoing asynchronous collaboration, and an appointment for the onboarding call. The prioritized optimization roadmap under § 2.5 is provided within fourteen days of the onboarding call, provided that the CUSTOMER has made available the access, data and information required for this purpose.
(2) With the provision of the access and content under paragraph 1, a substantial part of the services owed under this contract has been rendered. Schröder & Weische GmbH documents the provision and the use of that access.
(3) If the access under paragraph 1 is not available or not fully available, the CUSTOMER shall notify Schröder & Weische GmbH in text form within fourteen days. Schröder & Weische GmbH will then provide the access without undue delay. If no such notification is made, the access is deemed to have been properly provided. The statutory rights of the CUSTOMER remain unaffected.
(4) The services of Schröder & Weische GmbH are advisory and consulting services in the nature of a service contract (Dienstvertrag within the meaning of Sec. 611 BGB), not a contract for work and services (Werkvertrag). No specific economic result is owed, in particular no specific conversion rate, revenue figure or return on ad spend. Whether results occur depends substantially on implementation by the CUSTOMER, on the resources of the CUSTOMER, and on market factors outside the control of Schröder & Weische GmbH.
(5) The CUSTOMER confirms that the scope of services under § 2 was known to the CUSTOMER before conclusion of the contract. Assurances going beyond the content of this contract, in particular commitments regarding specific revenue, conversion or performance figures, do not form part of the contract (§ 12 para. 5).
(6) In concluding this contract, the CUSTOMER acts in the exercise of its commercial or independent professional activity and is an entrepreneur (Unternehmer within the meaning of Sec. 14 BGB). No consumer right of withdrawal applies.
(7) Questions or complaints regarding the provision of services or billing shall first be clarified directly between the Parties. Before initiating a payment reversal procedure with the payment service provider or with its bank (chargeback), the CUSTOMER will contact Schröder & Weische GmbH in text form and allow a period of at least fourteen days for clarification.
(8) A payment reversal procedure does not affect the remuneration claims of Schröder & Weische GmbH under § 5. Costs incurred by Schröder & Weische GmbH as a result of an unjustified payment reversal procedure, in particular fees charged by the payment service provider, are borne by the CUSTOMER. The CUSTOMER remains entitled to prove that no damage, or substantially lower damage, was incurred.
§ 8 Rights of Use
(1) All content made available by Schröder & Weische GmbH, in particular the online learning platform, the SOPs, frameworks, templates, trainings and analysis methods, is and remains the property of Schröder & Weische GmbH or of its licensors.
(2) For the term of this contract, the CUSTOMER receives a simple, non-transferable and non-sublicensable right to use this content for its own business purposes. Reproduction, disclosure to third parties, publication or exploitation, in particular disclosure for consideration, is not permitted.
(3) The CUSTOMER ensures that the access made available to it is used only by the CUSTOMER and by its employees. Passing on access credentials to third parties is not permitted.
(4) The access under paragraphs 2 and 3 ends when this contract ends.
(5) In respect of the work results that Schröder & Weische GmbH produces specifically for the CUSTOMER, in particular the optimization roadmap, analyses, concepts and briefings, the CUSTOMER receives a simple right, unlimited in time, to use them for its own business purposes. This right arises upon payment in full of the remuneration falling due under § 5 and continues beyond the term of this contract.
(6) Schröder & Weische GmbH remains entitled to continue to use without restriction the know-how applied in the cooperation, the underlying methods and any general insights gained.
(7) Advertising accounts, domains, tracking setups and other access of the CUSTOMER remain the property of the CUSTOMER. Schröder & Weische GmbH returns or releases access rights at the request of the CUSTOMER, and at the latest when this contract ends.
§ 9 Liability
(1) Schröder & Weische GmbH is liable without limitation for damage arising from injury to life, body or health, for intent and gross negligence, for fraudulently concealed defects, under any guarantee assumed, and under the German Product Liability Act.
(2) In cases of simple negligence, Schröder & Weische GmbH is liable only for the breach of a material contractual obligation. Material obligations are those the fulfilment of which makes the proper performance of this contract possible in the first place and on the observance of which the CUSTOMER may regularly rely. In such cases liability is limited to the foreseeable damage typical for this type of contract, and in total to no more than the total investment agreed under § 5 para. 1.
(3) Liability of Schröder & Weische GmbH is otherwise excluded.
(4) The limitations of liability in this clause also apply in favour of the legal representatives, employees and vicarious agents of Schröder & Weische GmbH.
(5) Liability for the economic success of the measures advised on is excluded (§ 7 para. 4). The same applies to damage arising from measures taken by third-party providers under § 3 para. 7.
§ 10 Confidentiality
(1) All information, documents and other non-obvious commercial and technical details, as well as all documents and documentation of whatever type and origin, including information transmitted orally, that one Party communicates, discloses, hands over or otherwise makes accessible to the other Party in connection with this contract, are confidential information within the meaning of this contract and are to be treated as confidential.
(2) The obligation to maintain confidentiality continues after the termination of this contract.
(3) If a Party is compelled by a court judgment or an official order to disclose confidential information of the other Party, it is released from the confidentiality obligations of this clause, but will inform the other Party of the disclosure to the extent permitted.
(4) Each Party remains free to disclose confidential information of the other Party for the purpose of defending or enforcing legal rights in court proceedings, including arbitration proceedings.
(5) The Parties agree that neither Party will leave negative reviews about the other Party on relevant review platforms such as Google or Trustpilot, unless the contractual relationship has been terminated prematurely for good cause under Sec. 314(1) BGB.
(6) Should a Party nevertheless write a negative review about the other Party, the Parties agree that any perceived grievances will be communicated to the other Party beforehand, so that they can be resolved between the Parties where possible.
(7) Any review written must also observe the confidentiality provisions of this contract.
(8) Article 5 of the German Basic Law (Grundgesetz) remains unaffected by § 10 paras. 5 to 7.
§ 11 Data Protection
(1) The Parties observe the applicable data protection law, in particular the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act.
(2) Insofar as Schröder & Weische GmbH processes personal data on behalf of the CUSTOMER under this contract, the Parties conclude a data processing agreement under Art. 28 GDPR before that processing begins. In matters of processing on behalf of a controller, that agreement takes precedence over this contract.
(3) The CUSTOMER remains the controller within the meaning of Art. 4 no. 7 GDPR. The CUSTOMER ensures that a valid legal basis exists for the processing of the data it provides or makes accessible, including the use of tracking and measurement technologies on its websites and in its advertising accounts, and that the required consents and information obligations are satisfied.
(4) Schröder & Weische GmbH obliges the employees and vicarious agents it deploys to maintain confidentiality.
§ 12 Final Provisions
(1) Where this contract or its annexes refer to sections without naming a statute, these are sections of this contract.
(2) Set-off, netting and the assertion of rights of retention by the CUSTOMER in respect of claims arising from or in connection with this contract are excluded, unless the counterclaim is undisputed or has been established by a final and binding decision. The right of Schröder & Weische GmbH to suspend performance under § 5 para. 9 remains unaffected.
(3) The Parties may assign rights and obligations under this contract, in whole or in part, only with the prior written consent of the other Party.
(4) Unless expressly agreed otherwise in this contract, this contract is concluded solely for the benefit of the Parties. It does not operate for the benefit of any third party, nor may any third party enforce it.
(5) This contract contains all agreements between the Parties regarding the cooperation and supersedes all provisions previously agreed between the Parties on the subject matter of this contract. No side agreements to this contract have been made in writing, orally or by implication. The annexes to this contract and the appendices attached to them form part of this contract.
(6) Amendments and additions to this contract must be made in writing, unless this contract expressly provides that text form is sufficient, and unless notarial form or another legally prescribed form is required. This also applies to this provision itself.
(7) The language of this contract, and of all communication relating to it, is English. The Parties have negotiated and concluded this contract in English.
(8) Should individual provisions of this contract be or become wholly or partly invalid or unenforceable, the validity of the remaining provisions remains unaffected. The Parties will replace the invalid or unenforceable provision with a valid provision that comes closest to the economic purpose of the original provision. The same applies to any gaps.
(9) This contract is governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods.
(10) To the extent legally permissible, the exclusive place of jurisdiction for legal disputes arising from or in connection with this contract, its formation or its performance is the registered office of Schröder & Weische GmbH. Schröder & Weische GmbH is, however, entitled to bring proceedings before any other court having jurisdiction.
Anlage C · Accelerated Partnership
§ 6 Anwendungsbereich und Verhältnis der Regelungen in TEIL I. und TEIL II.
(1) Alle Leistungen und Angebote der Schröder & Weische GmbH erfolgen ausschließlich auf der Grundlage dieser Allgemeinen Geschäftsbedingungen. Diese sind Bestandteil aller Verträge, die die Schröder & Weische GmbH mit ihren Vertragspartnern (nachfolgend auch „der Kunde“) über die von ihr angebotenen Lieferungen oder Leistungen schließt. Sie gelten auch für alle zukünftigen Leistungen oder Angebote gegenüber dem Kunden, selbst wenn sie nicht nochmals gesondert vereinbart werden.
(2) Geschäftsbedingungen des Kunden oder Dritter finden keine Anwendung, auch wenn die Schröder & Weische GmbH ihrer Geltung im Einzelfall nicht gesondert widerspricht. Selbst wenn die Schröder & Weische GmbH auf ein Schreiben oder eine E-Mail Bezug nimmt, das Geschäftsbedingungen des Kunden oder eines Dritten enthält oder auf solche verweist, liegt darin kein Einverständnis mit der Geltung jener Geschäftsbedingungen.
(3) Vertragliche Regelungen in TEIL I. dieses Vertrages gehen den Regelungen in diesem TEIL II. stets vor. Dies gilt auch bei sich widersprechenden Regelungen oder Regelungen mit unterschiedlichen Auslegungsmöglichkeiten.
(4) Leistungen und Angebote der Schröder & Weische GmbH richten sich ausschließlich an Unternehmer im Sinne des § 14 BGB und Kaufleute (HGB).
§ 7 Leistungen der Schröder & Weische GmbH, Dienste Dritter, gesondert zu vergütender Aufwand
(1) Die Schröder & Weische GmbH erbringt für Betreiber von Onlineshops umfassende Beratungs- und Agenturdienstleistungen, insbesondere in den Bereichen des Onlinemarketings und des E-Commerce. Soweit nicht ausdrücklich schriftlich abweichend vereinbart, schuldet die Schröder & Weische GmbH dem Kunden dabei aber nicht die Erbringung eines Werks oder eines konkreten Erfolgs, insbesondere nicht das Erreichen bestimmter Unternehmenskennzahlen oder Umsatzgrenzen.
(2) Der Kunde wird darauf hingewiesen, dass Drittanbieter (z.B. Facebook, Google) jederzeit dazu berechtigt sind, Werbekampagnen und -konten ohne Nennung von Gründen zu stoppen beziehungsweise einzustellen und gegebenenfalls sogar zu löschen. Für ein solches Vorgehen dritter ist die Schröder & Weische GmbH nicht verantwortlich und der Vergütungsanspruch der Schröder & Weische GmbH bleibt in diesen Fällen unberührt, es sei denn, die Sperrung, Löschung oder ähnliches wurde aufgrund eines Verhaltens und/oder Veränderungen an dem betreffenden Socialmedia-Account, das Schröder & Weische zu vertreten hat, durch den Drittanbieter durchgeführt.
(3) Bei der Inanspruchnahme von Leistungen Dritter – ausgenommen die von Schröder & Weische GmbH zur Erfüllung ihrer eigenen Leistungspflicht gewählten Subunternehmer und Erfüllungsgehilfen - gelten deren Bedingungen. Diese sind vom Kunden zu beachten.
(4) In Bezug auf die von der Schröder & Weische GmbH zu erbringenden Dienst- und/oder Werkleistungen gegenüber dem Kunden steht der Schröder & Weische GmbH hinsichtlich der Ausführung ein Leistungsbestimmungsrecht nach § 315 BGB zu.
(5) Die Schröder & Weische GmbH ist berechtigt, dem Kunden geschuldete Leistungen auch von Erfüllungsgehilfen / Subunternehmern und anderen geeigneten Dritten erbringen zu lassen.
(6) Der Kunde ist für die Rechtskonformität etwaiger Werbeanzeigen, Web- und Landeseiten (auch Impressum und Datenschutzerklärung) ausschließlich selbst verantwortlich. Etwaige dem Kunden überlassene Rechtstexte sind lediglich als Muster/Platzhalter zu verstehen und vom Kunden gegebenenfalls eigenverantwortlich rechtlich zu überprüfen.
(7) Der Schröder & Weische GmbH wird gestattet, mit dem jeweils aktuellen Firmenlogo des Kunden im Internet und den sozialen Medien zu werben. Sie darf über die in der Zusammenarbeit mit dem Kunden erzielten Erfolge, insbesondere Umsatzsteigerungen als Referenz auch nach der Beendigung dieses Vertrages Marketing betreiben.
(8) Die Behebung von Fehlern im Shop, die nicht durch die Schröder & Weische GmbH verursacht worden sind, sind vom Kunden gesondert zu vergüten. Die Vergütung für solche Fehlerbehebungen beläuft sich auf 150 € / Stunde. Der Kunde erhält hierfür einen Kostenvoranschlag, den er/ bestätigen muss, ehe die Leistungen zur Fehlerbehebungen erbracht werden.
§ 8 Abnahmebedürftige Leistungen
(1) Die Leistungen der Schröder & Weische GmbH unterfallen grundsätzlich dem Dienstvertragsrecht. Sofern eine vereinbarte Leistung ausnahmsweise kraft Gesetzes überwiegend dem Werkvertragsrecht unterfällt und damit abnahmebedürftig ist, gelten nur in Bezug auf diese Leistungen die nachstehenden Absätze 2-6.
(2) Die Schröder & Weische GmbH kann vom Kunden nach Abschluss der jeweiligen Teilleistung jeweils die Abnahme der Teilleistung verlangen und nach Durchführung aller Anpassungsleistungen zusätzlich eine Gesamtabnahme aller Leistungen.
(3) Die Abnahme der Leistungen setzt eine Funktionsprüfung durch den Kunden voraus. Die Funktionsprüfung ist erfolgreich durchgeführt, wenn die Anpassungsleistungen die vereinbarten Anforderungen erfüllen.
(4) Wird die Funktionsprüfung erfolgreich durchgeführt, ist die Abnahme seitens des Kunden unverzüglich in Textform zu erklären. Die Schröder & Weische GmbH kann den Kunden mit Fristsetzung von einer Woche zur Teil- bzw. Gesamtabnahme auffordern. Das Werk gilt mit Ablauf der Frist als abgenommen, wenn der Kunde gegenüber der Schröder & Weische GmbH nicht schriftlich erklärt hat, welche Mängel noch zu beseitigen sind. Über etwaige Mängel wird ein Mängelprotokoll vom Kunden angefertigt und der Schröder & Weische GmbH in Textform überlassen. Das Übermittlungsrisiko liegt beim Kunden.
(5) Die Schröder & Weische GmbH ist bei Vorliegen eines erheblichen Mangels berechtigt, zwei Mal binnen einer angemessenen und vom Kunden zu setzenden Frist nachzubessern.
(6) Die abzunehmende (Teil-)Leistung der Schröder & Weische GmbH gilt auch dann als abgenommen, wenn der Kunde sich auf Aufforderung der Schröder & Weische GmbH zur Abnahme der jeweiligen (Teil-)Leistung nicht binnen einer Woche schriftlich erklärt.
§ 9 Mitwirkungspflichten des Kunden, Kommunikation mit der Schröder & Weische GmbH, vom Kunden verursachte Verzögerungen in der Leistungserbringung
(1) Der Kunde hat die ihm obliegenden Mitwirkungshandlungen stets vollständig und fristgemäß auf erstes Anfordern der Schröder & Weische GmbH zu erbringen. Sämtliche vom Kunden zu erbringenden Mitwirkungshandlungen und die Erfüllung von Mitwirkungspflichten des Kunden sind Voraussetzung für die vertragsgemäße Leistungserbringung der Schröder & Weische GmbH. Erfüllt der Kunde diese Pflichten nicht oder nicht rechtzeitig, so gehen sich daraus ergebende Entgelterhöhungen oder Terminverschiebungen zu seinen Lasten. Unterlässt der Kunde eine Mitwirkungshandlung und verhindert damit die Leistungserbringung durch die Schröder & Weische GmbH, bleibt der Vergütungsanspruch der Schröder & Weische GmbH unberührt.
(2) Im Einzelnen hat der Kunde folgende Mitwirkungspflichten zu erfüllen: - Vorhalten eines Google Tools Zugangs mit Admin Berechtigungen auf dem Account Level oder der Kunde fügt alle Team Mitglieder der Schröder & Weische GmbH eigenständig zu allen Tools (insbesondere Google Analytics, Google Tag Manager, Google Optimize) hinzu, - Vorhalten eines Hotjar Zugangs mit Admin Berechtigungen auf dem Account Level oder der Kunde fügt alle Team Mitglieder der Schröder & Weische GmbH eigenständig zu allen Tools hinzu. Um eine ausreichende Anzahl an Nutzerfeedback zu erlangen, wird der Kunde ggf. ein Abo für einen “Ask” Plan von Hotjar abschließen müssen. - Vorhalten eines Microsoft Clarity Zugang mit Admin Berechtigungen auf dem Account Level oder der Kunde fügt alle Team Mitglieder der Schröder & Weische GmbH eigenständig zu allen Tools hinzu. - Vorhalten eines Shop Backend-Zugangs mit Admin-Berechtigungen für Developer für Anpassungen/Implementierung implementierter Tools und/oder erfolgreicher Tests auf dem Shop, die der Schröder & Weische GmbH zugänglich gemacht wird. - Zurverfügungstellung einer Zusammenfassung/ eines Zugangs zu bisher auf dem Shop durchgeführten A/B Tests und den Test von Rohdaten. - Zurverfügungstellung einer Zusammenfassung/ eines Zugangs zu bisher auf dem Shop durchgeführten Umfragen an Nutzer und/oder Kunden. - Zurverfügungstellung bereits geplanter Anpassungen/Änderungen am Shop und/oder der Marketingstrategie des Shops (bspw. Sonderangebote). - Zusammenfassung der USP´s und Vorteile der im Shop angebotenen Produkte. - Zugangsgewährung zu dem GA4 Account vom Kunden mit den Berechtigungen die Einstellungen anzupassen für die Schröder & Weische GmbH; Idealerweise die Einräumung der Admin-Berechtigungen, damit die Schröder & Weische GmbH einen BigQuery Account erstellen kann und den Account mit dem GA4 des Kunden verlinken kann. Dies ist für die Auswertung der A/B Tests der Schröder & Weische GmbH notwendig um die zuverlässigsten Ergebnisse für Tests in der Auswertung zu bekommen, weil BigQuery der Schröder & Weische GmbH Zugang zu den unverarbeiteten Rohdaten ermöglicht, wohingegen Google Analytics alle Daten in seinen Reports nur näherungsweise angibt und durch die Art der Datenverarbeitung das Testergebnisbeeinflussen kann. - Der Kunde hat Inhalte und Assets, die für die Durchführung der Tests notwendig sind, innerhalb von 3 Werktage nach Anforderung an die Schröder & Weische GmbH zu übermitteln. Andernfalls kann unter Umständen die Dienstleistung zeitlich nicht eingehalten werden und/oder sich verzögern. - Änderungen des Kunden an der von der Schröder & Wesiche GmbH geplanten Testing Roadmap (zeitlich und/oder inhaltlich) verzögern unter Umständen die Dienstleistungserbringung durch die Schröder & Weische GmbH. - Hat sich die Schröder & Weische GmbH mit dem Kunden auf einen konkreten Test geeinigt und können auf Seiten des Kunden inhaltliche und/oder technische, für die Durchführung des Tests notwendige Informationen kann die Leistungserbringung durch die Schröder & Weische GmbH erst verzögert erbracht werden. In solchen Fällen kann die Leistungserbringung der Schröder & Weische GmbH sich auch um eine längere Zeitperiode verzögern, weil dann die Mitarbeiter schon anders eingeplant sind. - Hat sich die Schröder & Weische GmbH mit dem Kunden auf einen Test geeinigt und im Nachhinein entscheidet dieser den Test nicht mehr durchführen zu wollen und stattdessen einen anderen Test durchführen zu wollen, verzögert sich unter Umständen die Leistungserbringung und zugesagte Leistungen können in zeitlicher Hinsicht nicht eingehalten werden, sondern werden mit Verzögerung erbracht. In solchen Fällen kann die Leistungserbringung der Schröder & Weische GmbH sich auch um eine längere Zeitperiode verzögern, weil dann die Mitarbeiter schon anders eingeplant sind. - Entscheidet sich ein Kunde einen Test vorzeitig abzuschalten, so zählt dieser Test dennoch in das Kontingent des Kunden und ist insoweit zu vergüten. - Ändert der Kunde Einstellungen eines bereits laufenden Tests, verzögert sich unter Umständen die Leistungserbringung durch die Schröder & Weische GmbH.
(3) Die Schröder & Weische GmbH ist aufgrund der Natur der geschuldeten Leistungen auf eine enge Kommunikation mit dem Kunden angewiesen. - Der Kunde schuldet jeweils eine Rückmeldung innerhalb von max. 24 Stunden auf Nachrichten der Schröder & Weische GmbH von Montag bis Freitag (maßgeblich sind Beginn und Ende dieser Tage in Deutschland) - Der Kunde muss eine Rückmeldung zu einem Testdesign innerhalb von drei Werktagen abgegeben. Andernfalls kann unter Umständen die Dienstleistung zeitlich nicht eingehalten werden und/oder sich verzögern. Die Schröder & Weische GmbH behält sich das Recht vor, einen Test ohne Rückmeldung des Kunden, nach drei Werktagen „live zu schalten“, wenn keine Rückmeldung des Kunden erfolgt, um Verzögerung möglichst gering zu halten. - Geplante Änderungen am Shop müssen vom Kunden gegenüber der Schröder & Weische GmbH frühzeitig kommuniziert werden. Werden Änderungen am Shop, insbesondere solche am Layout, der Struktur und/oder der Programmierung ohne vorherige Information der Schröder & Weische GmbH durchgeführt, sind unter Umständen Fehlerbehebungen der Schröder & Weische GmbH nötig (für Fehler die nicht seitens der Schröder & Weische GmbH verursacht wurden), um den funktionalen Zustand der Tests der Schröder & Weische GmbH auf dem Shop wiederherzustellen. - Die Nicht-Kommunikation (Verweigerung von Antworten) von Seiten des Kunden ist kein Kündigungsgrund für den Kunden und führt nicht zur Beendigung des Vertrages. - Die Kommunikation zwischen dem Kunden und der Schröder & Weische GmbH über Details der Mitwirkung und Leistungserbringung erfolgt über Slack. Entscheidet sich der Kunde nachträglich einen anderen Kommunikationsweg nutzen zu wollen, ist mit Verzögerungen im Fulfillment zu rechnen, weil die Kommunikation dann nicht mehr zentral und für alle Mitarbeiter der Schröder & Weische GmbH sichtbar vorzufinden ist. - Kunden antworten in Threads, um die Kommunikation innerhalb des Channels übersichtlich zu halten: https://www.youtube.com/watch?v=6wjmH5 qL3Ms, https://www.youtube.com/watch?v=941OhP Foay0 - Die Zuständigkeiten/Kontaktpersonen auf Seiten des Kunden für die Shops müssen klar definiert sein. Bspw. Muss seitens des Kunden klar definiert werden, welche Person auf Seiten des Kunden für konkrete Shops dem A/B Test Designs zustimmen muss. - Die Anzahl der vereinbarten Tests / angestrebten Anzahl der Tests kann nur eingehalten werden, sofern der Kunde sich an die vorstehenden Regelungen in der Kommunikation hält. - Der Kunde muss innerhalb der ersten 24 Stunden nach dem Vertragsstart der Schröder & Weische GmbH seine Brand Guideline vorlegen, falls vorhanden (Brandbook, Designs, Farben, Fonts), damit die Designer der Schröder & Weische GmbH die Designs von Anfang an passend zur CI des Shops erstellen können und die Designs nicht aufgrund von optischen Abweichungen zum Design des restlichen Shops nachträglich angepasst werden müssen. - Der Kunde stellt der Schröder & Weische alle nötigen Assets (Bilder, Logos, Icons, usw.) innerhalb der ersten Woche zum Vertragsstart zur Verfügung, damit Designs ohne Verspätungen erstellt werden können. - Die Rückmeldung von Kunden zu einem Testdesign muss innerhalb von drei Werktagen (maßgeblich sind Beginn und Ende der Werktage in Deutschland) abgegeben werden. Andernfalls kann unter Umständen die Leistung der Schröder & Weische GmbH in zeitlicher Hinsicht nicht eingehalten werden. Präzise Änderungswünsche bezüglich des Designs müssen vom Kunden innerhalb dieser 3 Werktage vorgegeben werden. Muss das Design auf Grund der Kundenwünsche mehr als einmal geändert werden, bevor der Test an die Programmierung weiteregegeben wird, verzögert sich unter Umständen die Leistungserbringung. Muss das Design laut dem Kunden angepasst werden, nachdem der Test bei der Schröder & Weische GmbH an die Programmierung weitergegeben wurde, verzögert sich unter Umständen die Leistungserbringung der Schröder & Weische GmbH.
§ 10 Zahlungen, Preise, Bedingungen
(1) Die Preise, die von der Schröder & Weische GmbH mit dem Kunden schriftlich vereinbart werden, sind verbindlich. Die mitgeteilten Preise verstehen sich jeweils netto zuzüglich gesetzlicher Umsatzsteuer.
(2) Die vertraglich vereinbarte Vergütung ist binnen 10 Tage nach Rechnungsstellung durch die Schröder & Weische GmbH seitens, des Kunden zu zahlen, ohne dass es einer weiteren Aufforderung/Mahnung des Kunden bedarf. Maßgeblich ist der Eingang bei der Schröder & Weische GmbH. Der Kunde ist hinsichtlich der Leistung der Vergütung vorleistungspflichtig. Die Vergütung ist mittels eines der Schröder & Weische GmbH zu erteilendem SEPA-Lastschriftmandates/Abo eines Zahlungsdienstleisters zu leisten. Der Kunde ist verpflichtet, ein schriftliches SEPA-Lastschriftmandat bzw. sonstige erforderlichen Erklärungen für den Einzug der Vergütung über einen Zahlungsdienstleister (derzeit GoCardless STRIPE oder WISE) zu erteilen. Eine vom Kunden der Schröder & Weische GmbH erteilte (SEPA-) Einzugsermächtigung oder ein entsprechendes Abo bei einem Zahlungsdienstleisters gilt bis auf Widerruf auch für die weitere Geschäftsverbindung zwischen den Vertragsparteien. Für den Fall, dass vereinbarte Lastschriften nicht vom Konto des Kunden eingezogen werden können und eine Rückbuchung erfolgt, ist der Kunde verpflichtet, den geschuldeten Betrag binnen drei Werktagen nach Rückbuchung an die Schröder & Weische GmbH zu überweisen und die durch die Rückbuchung veranlassten Kosten zu übernehmen. Für den Fall, dass Zahlungen über einen Zahlungsdienstleister abgewickelt werden sollen, erklärt sich der Kunde damit einverstanden, dass alle im Rahmen dieses Vertrags fälligen und geschuldeten Zahlungen direkt an die Agentur durch automatisierte Überweisungen (ACH-Zahlung) von dem Bank-/Kreditkartenkonto erfolgen, das der Kunde mit dem von der Agentur an den Kunden übermittelten Angebot angegeben hat. In diesem Zusammenhang erklärt sich der Kunde bereit, eine Autorisierungsvereinbarung mit dem von der Agentur zu übermittelnden Direktzahlungslink auszufertigen und an die Agentur zu übermitteln, die unter anderem die Agentur unwiderruflich ermächtigt, ACH-Überweisungen vom Bank-/Kreditkartenkonto an die Agentur in den gemäß diesem Vertrag zulässigen Beträgen zu veranlassen. Für die Zwecke dieses Absatzes sind alle Zahlungen am 1. eines jeden Kalendermonats für den/die betreffenden Monat(e) fällig und zahlbar. Eine gültige Backup-Kreditkarte ist im System/Datei erforderlich, wenn möglich. Sofern die Zahlung über den Dienstleister Stripe Payments Europe, Limited (SPEL) oder den Dienstleister Wise Europe SA/NV oder GoCardless vom Kunden gewählt wird, hat der Kunde für den Zugang der Zahlung bei der Schröder & Weische GmbH zu sorgen und alle notwendigen Voraussetzungen dafür zu schaffen und während der Laufzeit des Vertragsverhältnisses mit Schröder & Weische GmbH aufrecht zu erhalten.
(3) Eine Aufrechnung mit nicht anerkannten oder nicht rechtskräftig entschiedenen bzw. zur rechtskräftigen Entscheidung anstehenden Gegenforderungen des Kunden wird ausgeschlossen. Zurückbehaltungsrechte können gleichfalls nur geltend gemacht werden, soweit von der Schröder & Weische GmbH anerkannte oder rechtskräftig entschiedene oder zur rechtskräftigen Entscheidung anstehende Gegenforderungen bestehen.
(4) Ist Schröder & Weische GmbH gehindert, die vereinbarten Dienstleistungen zu erbringen und stammen die Hinderungsausgründe aus der Sphäre des Kunden, bleibt der Vergütungsanspruch von Schröder & Weische GmbH unberührt.
§ 11 Verzug des Kunden
(1) Fristen für die Leistungserbringung durch die Schröder & Weische GmbH beginnen nicht, bevor der vereinbarte Rechnungsbetrag bei der Schröder & Weische GmbH eingegangen ist und vereinbarungsgemäß die für die Dienstleistungen notwendigen Daten bei der Schröder & Weische GmbH vollständig vorliegen beziehungsweise die notwendigen Mitwirkungshandlungen durch den Kunden vollständig erbracht sind.
(2) Ist der Kunde mit fälligen Zahlungen im Verzug, behält sich die Schröder & Weische GmbH vor, weitere Leistungen bis zum Ausgleich des offenen Betrages nicht auszuführen. Gewährte Stundungen können im Falle des Zahlungsverzugs mit einzelnen Raten seitens der Schröder & Weische GmbH sofort beendet werden, so dass der offene Betrag der Projektpauschale sofort zu zahlen ist.
§ 12 Laufzeit, Ordentliche Kündigung, außerordentliche Kündigung
(1) Der Vertrag hat die individuell zwischen den Vertragsparteien vereinbarte Laufzeit.
(2) Etwaige freie Kündigungsrechte während der Vertragslaufzeit sind ausgeschlossen.
(3) Alle Kündigungen bedürfen zu ihrer Wirksamkeit der Schriftform.
(4) Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt stets unberührt.
§ 13 Verhalten und Rücksichtnahme
Der Kunde hat die üblichen Verhaltensweisen eines redlichen Kaufmanns gegenüber der Schröder & Weische GmbH zu gewährleisten. Die Schröder & Weische GmbH behält sich vor, jede rechtswidrige und/oder unsachgemäße beziehungsweise sachgrundlose Äußerung über ihr Unternehmen und ihre Dienstleistungen, sei es durch Kunden, Mitbewerber oder anderweitige Dritte, insbesondere unwahre Tatsachenbehauptungen und Schmähkritiken, zivilrechtlich zu verfolgen und darüber hinaus ohne Vorankündigung zur Strafanzeige zu bringen. Die Vertragspartner verpflichten sich zu einer engen und fairen Kooperation. Sie wissen, dass das Projekt nur bei gemeinsamer Anstrengung erfolgreich durchgeführt werden kann.
§ 14 Nutzungsrechte
(1) Mit vollständiger Zahlung der vereinbarten Vergütung erhält der Kunde an den von Schröder & Weische GmbH erbrachten Begleitergebnissen der Dienst- und oder Werkleistung das einfache, zeitlich und räumlich unbegrenzte Recht, die Arbeitsergebnisse für interne Anwendungen und Zwecke einzusetzen, zu vervielfältigen, zu bearbeiten sowie mit anderen Programmen oder Materialien zu verbinden. Nicht erfasst von der Übertragung der Nutzungsrechte ist die Übertragung an Dritte einschließlich Konzernunternehmen des Kunden. Für die Dauer der Nutzung bis zur vollständigen Zahlung überträgt Schröder & Weische GmbH die einfachen Nutzungsrechte widerruflich unter der Maßgabe der vollständigen Zahlung.
(2) Ist Ratenzahlung vereinbart, geht das nach Absatz 1 benannte Nutzungsrecht vorbehaltlich anderslautender Individualvereinbarung erst mit vollständiger Zahlung der letzten Rate an die Schröder & Weische GmbH über.
(3) Die Weitergabe der Arbeits- und Leistungsergebnisse an Dritte (auch verbundene Unternehmen) wird ausgeschlossen. Gleiches gilt für eine Bearbeitung nach § 23 UrhG.
§ 15 Haftung
(1) Schröder & Weische GmbH haftet im Falle von Arglist, Vorsatz oder grober Fahrlässigkeit nach Maßgabe der gesetzlichen Bestimmungen. Für leichte Fahrlässigkeit haftet Schröder & Weische GmbH nur, wenn es sich dabei um die Verletzung einer wesentlichen Pflicht handelt, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht (Kardinalpflicht) und auf deren Einhaltung der Kunde regelmäßig vertrauen darf. In Fällen einer leicht fahrlässigen Verletzung einer wesentlichen Pflicht ist die Haftung der Höhe nach beschränkt auf den bei vergleichbaren Aufträgen dieser Art typischen Schaden, der bei Beauftragung oder spätestens bei der Begehung der Pflichtverletzung vorhersehbar war.
(2) Für Schäden, die auf dem Fehlen dieser garantierten Beschaffenheit oder Haltbarkeit beruhen, aber nicht unmittelbar am Vertragsgegenstand eintreten, haftet die Schröder & Weische GmbH allerdings nur dann, wenn das Risiko eines solchen Schadens ersichtlich auch von der Beschaffenheits- und Haltbarkeitsgarantie erfasst ist.
(3) Wenn die Erfüllung einer Verpflichtung aus diesem Vertrag aufgrund von höherer Gewalt (Naturkatastrophen, Krieg, Bürgerkrieg, Volksaufstand, Staatsnotstand, Streik, Terroranschlag und andere Ereignisse von vergleichbarer Tragweite) nicht erbracht werden kann, stellt dies keine Vertragsverletzung dar.
(4) In den Grenzen nach Absatz 1 und 2 die haftet Schröder & Weische GmbH nicht für Daten- und Programmverluste. Die Haftung für Datenverlust wird der Höhe nach auf den typischen Wiederherstellungsaufwand beschränkt, der bei regelmäßiger und gefahrentsprechender Anfertigung von Sicherungskopien eingetreten wäre. Die Haftung nach dem Produkthaftungsgesetz bleibt ebenso stets unberührt wie die für die Übernahme einer Garantie.
(5) Der Kunde ist zur Schadensvermeidung und -minderung verpflichtet, beispielsweise durch Datensicherung und durch Virenabwehr nach dem Stand der Technik.
(6) Der Kunde gewährleistet, dass der Schröder & Weische GmbH überlassene Arbeitsmaterialien (z.B. Fotos, Texte, Videos) frei von Rechten Dritter sind, und dass die für die Zwecke des Hauptvertrags erforderlichen Genehmigungen vorliegen. Der Kunde stellt die Schröder & Weische GmbH insoweit von jeglicher Inanspruchnahme Dritter frei.
§ 16 Tool/Software
Die Schröder & Weische GmbH hat ein Tool/Software (nachfolgend "Tool") entwickelt, auf das der Kunde zugreifen kann, um benutzerdefinierte Berichte für Daten aus Google Analytics zu erstellen und um dem Kunden Einblicke in Zielgruppen und A/B-Tests zu gewähren sowie die vergleichende Analyse aus den erstellten Berichten durchzuführen.
§ 17 Geheimhaltung
(1) Die Vertragsparteien behandeln alle Informationen und Unterlagen, die ihnen von dem oder über den Vertragspartner zugehen oder bekanntwerden, strikt vertraulich, zumindest mit derselben Sorgfalt wie eigene Informationen gleicher Art. Gegenstände werden so verwahrt und gesichert, dass Kenntnisnahme und Missbrauch durch Dritte ausgeschlossen sind. Die Pflichten gelten insbesondere für Software und Daten. Sie bleiben auch nach Vertragsbeendigung auf Dauer in Kraft.
(2) Informationen und Unterlagen dürfen nur für Zwecke der Durchführung des Vertrages eingesetzt werden. Sie dürfen nur an solche Mitarbeiter, Subunternehmen und Sonderfachleute weitergegeben werden, die sie zur Durchführung des Vertrages kennen müssen. Mitarbeiter, Subunternehmen und Sonderfachleute sind auf Antrag einer Vertragspartei schriftlich unmittelbar zugunsten der anderen Vertragspartei zur Geheimhaltung nach diesen Regeln zu verpflichten. Die jeweilige Vertragspartei kann eine Kopie der Verpflichtungserklärung verlangen.
(3) Die Geheimhaltungspflicht gilt nicht für Informationen und Unterlagen, die offenkundig sind oder werden, ohne dass dies auf einem Vertragsverstoß der Vertragspartei beruht, oder die der empfangende Vertragspartner von Dritten erhalten hat, die befugt sind, sie der Allgemeinheit zu offenbaren. Wer sich auf diese Ausnahmen beruft, trägt die Beweislast.
(4) Eine gesondert zwischen dem Kunden und der Schröder & Weische geschlossene Geheimhaltungsvereinbarung (NDA) bleibt aufrechterhalten und gilt weiter. Für sie gilt § 19 (4) dieses Vertrages nicht.
§ 18 Datenschutz
(1) Die Vertragsparteien beachten die datenschutzrechtlichen Vorschriften. Jede Vertragspartei verpflichtet die auf seiner Seite tätigen Personen schriftlich zur Beachtung des Datenschutzes und zur Wahrung der Vertraulichkeit und weist dies der anderen Vertragspartei auf Anforderung nach.
(2) Die Vertragsparteien gehen davon aus, dass Schröder & Weische im Zusammenhang mit dem Projekt keine personenbezogenen Daten aus dem Umkreis des Kunden kennenlernt. Sollte dies anders werden, wird Schröder & Weische GmbH im Auftrag des Kunden im Sinne des Art. 28 DSGVO tätig. Schröder & Weische GmbH wird die personenbezogenen Daten daher nur im Rahmen dieses Vertrages oder anderer schriftlicher Weisungen des Kunden und gemäß den datenschutzrechtlichen Bestimmungen nutzen. Die Vertragsparteien sind verpflichtet, dann eine Art. 28 DSGVO entsprechende Vereinbarung über eine Auftragsverarbeitung abzuschließen. Soweit es zur Auftragsdurchführung erforderlich ist, dass der Kunde Schröder & Weische GmbH Zugang zu personenbezogenen Daten gewährt, müssen das eingesetzte Personal und Subunternehmer ebenfalls über die datenschutzrechtlichen Verpflichtungen unterrichtet und gemäß den datenschutzrechtlichen Bestimmungen verpflichtet werden.
§ 19 Schlussbestimmungen
(1) Vertragssprache ist Deutsch. Stellt die Schröder & Weische GmbH dem Kunden eine englische Übersetzung dieses Vertrages als Serviceleistung zur Verfügung, so ist bei Abweichungen zum Deutschen Vertragstext oder auslegungsbedürftigen Regelungen des englischen Textes ausschließlich der deutsche Vertragstext maßgeblich.
(2) Für diesen Vertrag gilt deutsches Recht unter Ausschluss des UN-Kaufrechtes.
(3) Die Vertragsparteien vereinbaren für alle aus und im Zusammenhang mit diesem Vertrag entstehenden Streitigkeiten, die ausschließliche Zuständigkeit der Gerichte am Sitz der Schröder & Weische GmbH, soweit die Voraussetzungen gemäß § 38 ZPO vorliegen. Schröder & Weische GmbH ist allerdings berechtigt, jedes ansonsten zuständige Gericht anzurufen.
(4) Dieser Vertrag ersetzt alle vorherigen Absprachen und Verträge zwischen den Vertragsparteien. Mündliche Nebenabreden besteh keine.
(5) Änderungen dieses Vertrages einschließlich dieser Klausel bedürfen der Textform und müssen ausdrücklich als solche bezeichnet sein.
(6) Sollten eine oder mehrere Bestimmungen des Vertrags aus tatsächlichen oder rechtlichen Gründen unwirksam oder undurchführbar sein oder werden, so wird die Wirksamkeit der übrigen Vertragsbestimmungen hierdurch nicht berührt. Gleiches gilt für eine Regelungslücke. Die Schröder & Weische GmbH und der Kunde sind verpflichtet, die unwirksame oder undurchführbare Bestimmung durch eine wirksame Bestimmung zu ersetzen, die dem wirtschaftlich Gewollten am nächsten kommt. Kommt keine Einigung hierüber zustande, so wird die unwirksame Bestimmung automatisch durch diejenige wirksame Bestimmung ersetzt, die dem wirtschaftlichen Zweck dieses Vertrages am nächsten kommt.
